POSITION TITLE: VP Managing Counsel, Global Payroll BU Legal
DEPARTMENT: Legal

LOCATION: Barcelona, Spain – Hybrid

ADP is seeking an experienced attorney to lead the ADP Global Payroll Legal team. The team focuses on general legal support and business-unit-specific compliance matters for the ADP Global Payroll business.
The VP Managing Counsel serves as the key advisor to the leaders of ADP Global Payroll, engaging with all levels of business and corporate management, and reports to the VP, Assistant General Counsel - ESI. The ideal candidate will possess strong business orientation and will be responsible for establishing priorities for the Global Payroll legal team and ensuring that marketing, sales, service, and other practices affecting Global Payroll remain in compliance with all applicable legal requirements, working in close collaboration with all key stakeholders in Global Payroll, as well as across Legal, Global Compliance and other assurance functions.

Key Responsibilities:
Job duties may change over time and additional job functions may become essential.
• Serve as a member of the Global Payroll Senior Leadership Teams (SLT) for ADP Global Payroll and advise on all relevant legal matters, including product initiatives and compliance.
• Define the legal strategy and priorities for the Global Payroll legal team, in collaboration with relevant Business Unit and Corporate functions.
• Lead and develop a high-performing team of international lawyers.
• Handle claims and disputes, including litigation.
• Lead legal aspects of new initiatives and special projects relevant to the Business Unit.
• Provide guidance on key relationships with subcontractors and partners of the Business Unit.
• Develop and review internal processes as necessary.
• Engage in M&A projects, providing legal insights and support to the Corporate M&A team during acquisitions or dispositions involving Global Payroll.
• Support the development and implementation of AI initiatives, ensuring adherence to relevant legal frameworks.
• Support leaders and members of the ADP Global Contracts Teams on complex global customer contracts with existing and prospective multinational customers.
• Perform other related duties as assigned.

 

Qualifications Required:
• Education: Juris Doctorate or equivalent from an accredited law school.
• Experience: Minimum of 15 years in corporate law (law firm or in-house counsel) with a focus on contracts, product compliance, and data privacy.
• Language Skills: Fluency in English (written and spoken) required; proficiency in additional languages preferred.
• Legal Knowledge: Strong understanding of outsourcing arrangements, technology contracts, business law, and data privacy laws in the EU and other major markets; experience with AI-related legal issues is a plus.
• Leadership Skills: Experience managing other lawyers preferred; proven ability to lead and develop a team of legal professionals, fostering a collaborative and high-performance culture.
• Business Acumen: Strong understanding of business operations and the ability to align legal strategies with business objectives.
• Communication Skills: Excellent verbal and written communication abilities.
• Analytical Skills: Strong problem-solving and critical thinking skills, with experience in identifying and managing legal risks, and a proactive approach to compliance and governance.
• Interpersonal Skills: Ability to effectively interact with all levels of management, external lawyers, and business associates in a matrix ecosystem.
• Project Management: Self-motivated with the ability to manage multiple projects and meet deadlines.
