Are you in? **Primary Purpose** **PRIMARY PURPOSE OF POSITION** The Vice President (VP) and Deputy General Counsel (DGC), Federal Energy Regulatory & Commercial Transactions, serves as the primary legal advisor to senior management with respect to legal matters relating to: (1) federal regulation of transmission services and assets, interstate gas services, and energy markets, and (2) commercial transactions. This position also is responsible for setting the legal strategy for, and leading and managing, attorneys and other legal professionals in the FERC Legal and Commercial Transactions practice areas and for directly coordinating with the Exelon Operating Company General Counsels on matters relating to FERC regulation and commercial transactions. The VP and DGC also performs legal services involving high-level or complex federal energy regulatory and transactional matters practice areas. **Primary Duties** **PRIMARY DUTIES AND ACCOUNTABILITIES** 1 Overall responsibility for coordinating legal activities of Exelon and its subsidiaries involving federal energy regulatory matters and commercial transactions. 2 Provide advice and counsel to senior leadership on legal matters relating to federal energy regulation and commercial transactions. 3 Provide leadership for and manage all lawyers and legal professionals in these practice areas. 4 Develop and implement a vision and strategy for these practice areas. 5 Budget for and manage all legal expenditures in practice areas, manage allocation of legal resources, including outside counsel spend. 6 Participate as member of Legal Council to set objectives, policies and procedures, review performance, and otherwise support management of the Exelon legal functions. **Job Scope** **JOB SCOPE** Within the specific legal practice area, the DGC provides: (i) vision and strategy for the legal function; (ii) legal advice and counsel to Exelon’s senior management; (iii) leadership of a group of legal professionals throughout Exelon and control of outside counsel; (iv) legal services on high-level or complex matters; and (v) allocation of legal resources and management of the legal budget. **Minimum Qualifications** **MINIMUM QUALIFICATIONS** An LLB or JD from an accredited law school and be licensed to practice law in the relevant jurisdictions. · At least 15 years of professional experience in federal energy regulation and/or commercial transactions. · Strong managerial and leadership skills sufficient to lead and motivate a diverse professional workforce. · Superior legal judgment in the business context. · Advanced oral and written presentation skills and ability to interpret and clearly convey complex information. · Ability to address challenging legal issues, managing competing interests and provide counsel to senior management. **Preferred Qualifications** **PREFERRED QUALIFICATIONS** Prior experience at the Federal Energy Regulatory Commission and in commercial transactions.
