Play a key role in advising on legal and regulatory matters for capital markets and sales and trading businesses across Asia, supporting new product launches, market entries, and entity set-ups.

What you'll do:
As Vice President of Corporate Governance based in Singapore, you will be entrusted with a broad remit that places you at the centre of strategic decision-making within one of Asia’s most prominent financial institutions. Your day-to-day responsibilities will see you collaborating with senior leaders—ensuring that all governance processes run smoothly from boardroom meetings through to regulatory filings. You will be instrumental in maintaining up-to-date governance documentation such as committee charters and organisational charts while also managing critical registers like those tracking significant controllers. Your expertise will be called upon when advising on complex legal matters relating to capital markets activity across multiple jurisdictions—especially when launching new products or entering new markets. In addition to supporting board effectiveness reviews and facilitating seamless communication between regional offices and headquarters, you will also oversee relationships with external corporate secretarial providers. Your ability to manage competing priorities under tight deadlines will be vital as you deliver timely solutions that uphold both regulatory standards and organisational objectives.
Coordinate comprehensive corporate governance activities for the organisation’s Asian operations, including oversight of subsidiaries and branches to ensure best practices are consistently applied.
Collaborate closely with the Chief Executive Officer to maintain high standards in all governance arrangements, ensuring their requirements are fully met.
Facilitate effective operation of Board of Directors meetings, Board Committee meetings, Executive Committee meetings, and Management meetings by preparing agendas, signposting key issues for discussion, issuing prompt minutes and action items, and tracking agreed actions through to completion.
Ensure timely provision of information and documentation to colleagues at headquarters as well as maintenance of original signed Board Resolutions for audit and compliance purposes.
Support the Board Chairman and Chief Executive Officer in conducting performance effectiveness evaluations for the Board and relevant Committees as required.
Maintain up-to-date Terms of Reference for all Boards, Committees, Executive Committees, and Management Committees within the organisation’s Asian operations; review these documents annually or more frequently if necessary.
Keep organisational charts, committee structure charts, authorised signatory lists, and other key governance documents current for both regional entities and the Singapore branch.
Manage all regulatory filings related to changes in Board Directors or other statutory requirements promptly to ensure full compliance with local regulations.
Oversee the Significant Controller Register for the Asian business unit so it remains accurate at all times.
Provide essential information during annual financial statement audits as well as routine or ad hoc regulatory reviews by external authorities or internal stakeholders.
Monitor service quality provided by external agents responsible for corporate secretarial services to ensure alignment with outsourcing policies and regulatory standards.
Administer user access for board portal systems in Asia (such as Board Vantage), offering training and technical support where needed to facilitate secure document sharing among directors.
Advise on legal matters affecting capital markets activities—including licensing applications, cross-border marketing restrictions, competition law issues, foreign exchange controls, OTC derivatives regulation—and contribute to developing necessary control frameworks for new business initiatives.
Provide holiday cover for other members of the Legal team when required to ensure continuity of service across the region.
Undertake special projects at the request of the Head of Legal for Asia Pacific.

Qualified lawyer admitted within a common law jurisdiction with over 12 years’ experience (including at least 10 years post-qualification) gained within financial institutions where you have been exposed extensively to board or corporate governance processes.
Fluency in English—both written and spoken—is essential for effective communication across diverse teams and stakeholders throughout Asia.
Outstanding communication skills enabling you to convey complex legal concepts clearly while building trust-based relationships with board members and executive leaders alike.
