Daniel J. Edelman Holdings’/Edelman’s Legal team is a nimble, team-oriented group supporting the legal needs of a creative, privately held communications marketing firm with a base of clientele ranging from some of the largest companies in the world to those just starting out to not-for-profit organizations and to foundations as well as a host of others.As the legal department, our team works hand-in-hand globally with colleagues across all practice groups within the Daniel J. Edelman Holdings’ family of companies to support the legal needs of the businesses by collaborating to formulate practical solutions as these needs arise. ResponsibilitiesProvide advice on a wide range of legal matters affecting the operations of Edelman but with a particular focus on M&A, general corporate and commercial law and governance.Draft, review and negotiate complex commercial contracts, in cooperation with colleagues globally.Examples include professional services agreements, government contracts for services, vendor supply agreements, confidentiality agreements, licensing arrangements, settlement agreements and other contracts.Work closely with the General Counsel and external counsel on the expansion of Edelman business. Provide back up support to the General Counsel, in particular in relation to dealings with the Board and governance matters.Identify, analyze, and present viable solutions for addressing client or supplier contracts and other legal concerns. Must be able to prioritize and summarize related legal issues so as to resolve those issues in a timely and efficient manner.Serve as a business partner to the business team and a collaborative colleague within the legal department.Maintain and organize corporate files, including original contracts; draft miscellaneous corporate maintenance documents, written consents, powers of attorney, incumbency certificates, delegations of authority, corporate qualifications, withdrawals, mergers, incorporations, dissolutions and other general corporate documents.Handle special projects and other duties as assigned.ABOUT YOU:We are looking for someone who has:Law degree; Admission to a U.S. state bar association preferably IL, NY, CA, TX, etc.Minimum in-house corporate/commercial experience, working knowledge and experience in the following substantive areas: M&A, contracts, intellectual property, corporate and labor/employment (including review and revision of contracts), preferably in an agency environmentAbility to work independently and manage projects with limited oversight, a high attention to detail and a high level of accuracy in workProblem solving skills who proactively identifies substantive issues and presents viable alternative solutions. This individual must be highly efficient and able to deal with a large volume of work, possess strong analytical skills, and be able to learn quicklyAbility to work with individuals at all levels both internally and externallyProficiency in Microsoft Office suiteExcellent written and verbal communication skillsKnack for managing multiple priorities and delivering on tight deadlinesSense of humor and ability to embrace changeApproachable demeanor and ability to remain calm under pressureHybrid work environment currently (e.g., 3 days mandatory in office)$130,000 - $220,000 a year#LI-LB1
An employee’s pay position within the salary range will be based on several factors including, but not limited to, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, travel requirements, revenue-based metrics, any contractual agreements, and business or organizational needs. The range listed is just one component of DJEH’s total compensation package for employees. Other rewards may include annual bonuses, a Paid Time Off policy, and region-specific benefits.
