Senior Procurement Counsel
Description Huntington National Bank has an exceptional opportunity for an experienced contracts lawyer to join its Legal Department. By leveraging good judgment and business sense, you will partner closely with the Corporate Procurement and Business Segment to draft, review, and negotiate a wide variety of vendor contracts in support of Huntington’s strategic goals. The ideal candidate will efficiently get to “yes” while also protecting Huntington’s interest. We are seeking a seasoned contracts lawyer who appreciates which issues matter the most and delivers timely customer service in a fast-paced and quickly evolving business environment. Job Description: + Provide effective and pragmatic legal support managing vendor transactions, deals, and disputes. + Display sound judgment in the review, drafting, and negotiation of a large volume of vendor contracts that are complex, business critical, and high-dollar value, in a fast-paced environment. + Contribute to the holistic negotiation of agreements with suppliers to achieve the optimal combination of service, cost, quality, and risk mitigation in a timely manner. + Advise on a variety of vendor agreements related to the operation of a large bank with a significant focus on technology contracting, including: custom development agreements, off-the-shelf licensing arrangements, software and cloud arrangements (SaaS, IaaS, PaaS), network connectivity and communications, professional services, consulting, hardware, infrastructure, technology, test and license agreements, non-disclosure agreements, back-office banking platforms for commercial loans, residential loans, securities trading platforms, digital products and services, data aggregators, and fintechs, etc. + Engage with sourcing and procurement, subject matter experts, segment lawyers, compliance, and risk partners to effectively identify and mitigate risks in third party relationships and advise on complex issues related to data, privacy, information security, consumer laws, third party risk, and intellectual property. + Provide prompt and responsive counsel while handling multiple issues in a deadline-intensive environment; Basic Requirements: + Bachelor’s Degree and JD required + 5 years of experience negotiating commercial and /or technology contracts at a law firm or in-house Preferred Additional Qualifications: + Extensive experience drafting and negotiating vendor agreements. + First chair experience negotiating and drafting technology-related vendor contracts (e.g., SaaS, IaaS, and PaaS) + Familiarity with data privacy and information security issues with vendor contracts + Experience in banking or financial services industry preferred + Ability to resolve issues, to get to “yes” efficiently and drive performance + Demonstrated success managing multiple projects and competing priorities under pressure + Ability to break down complex legal concepts to internal clients in a practical, understandable way that balances legal risk and business objectives + Ability to balance business considerations with legal risk and maintain effective business relationships + Communicates clearly and succinctly to internal and external parties in a variety of communication settings and styles #LI-NG1 #LI-Remote Exempt Status: (Yes = not eligible for overtime pay) (No = eligible for overtime pay) Yes Workplace Type: Remote Our Approach to Office Workplace Type Certain positions outside our branch network may be eligible for a flexible work arrangement. Compensation Range: $93,000-$189,000 annually The compensation range represents the low and high end of the base compensation range for this position.
