Senior Counsel, Corporate Transactions
Job Summary: As a member of the Legal Department’s corporate and strategic transactions practice in the Corporate Strategy and Business Law Group, this position provides legal counsel and support to Kaiser Permanente’s business entities related to strategic and complex corporate transactions, including mergers, acquisitions, joint ventures and affiliations, that impact Kaiser Permanente’s business and/or clinical operations, creating innovating solutions. This position will partner with our business and clients on complex transactions work for Kaiser Permanente. While focused on strategic and complex corporate transactions, this is a broad transactional practice supporting Kaiser Permanente’s operations as health plans and integrated delivery systems in California, Colorado, District of Columbia, Georgia, Hawaii, Maryland, Oregon, Virginia and Washington, as well as at Risant Health. In addition to the responsibilities listed below, this position is also responsible for negotiating and reviewing highly complex and technical legal agreements; reviewing highly complex legal documents, identifying issues and developing solutions when necessary; validating highly complex requests and recommending revisions; creating templates for and managing the development of, drafting and negotiating contracts and agreements, managing the completion and filing of highly complex notarizations, legal documents, corporate filings, and other corporate documents as needed; developing and leading relationships among leaders, stakeholders, and employees; researching and analyzing and providing insights regarding applicable federal and state statutes and regulations; conducting highly technical and nuanced research and leveraging expert knowledge; drafting and negotiating contracts and other business arrangements with health care providers and payers; collaborating with and providing legal counsel to business leadership regarding all aspects of transactions; coordinating the development and implementation of new products, and initiatives; and proactively monitoring the development and implementation of agreements and contract templates. Essential Responsibilities: + Participates in the creation, review, and negotiation of legal documents by: preparing, drafting, creating, and reviewing highly complex and nuanced written legal advice, contracts, and/or other documents related to subject matter expertise; overseeing work product of others; and providing highly technical, expert and actionable guidance to clients and other legal professionals (e.g., legal counsel, paralegals, and legal assistants). + Performs and analyzes legal research by: performing or managing highly complex research and analyses of case law and statutory/regulatory authority including but not limited to federal and state laws, rules, regulations, accreditation standards, and/or other applicable guidance; analyzing highly complex industry patterns and trends impacting legal questions or issues; and effectively synthesizing and communicating legal research findings and legal analysis to cross-functional senior business stakeholders to inform program-wide strategy and critical business decisions. + Assesses legal risk and/or provides legal guidance by: applying expert knowledge of legal principles, business risks, regulatory landscape, and compliance considerations to provide legal advice and recommendations on matters highly critical to the organization; leading legal strategies for senior business stakeholders and implementing innovative solutions that mitigate legal risks, drive program-wide business strategy, and further advance Kaiser Permanentes mission; managing and overseeing outside counsel on highly technical and complex legal matters; effectively collaborating with other attorneys to leverage and share expertise and resources in a highly matrixed environment; and overseeing junior-level attorneys and other legal professionals or guiding more junior attorneys in their area of expertise, and as appropriate. + Contributes to legal planning and strategy by: formulating and managing legal strategy for the implementation of significant and innovative solutions to unique issues; driving the resolution of highly complex legal issues through collaboration among legal colleagues and stakeholders; advising senior stakeholders on health plan and/or care delivery business and/or clinical strategies; engaging with regulatory services and government relations on Kaiser Permanentes advocacy strategies to address legislative, regulatory and litigation risk; and managing, leading, or guiding responses to regulatory actions as appropriate for practice areas (e.g., audits and enforcement actions). Basic Qualifications: Experience + Minimum five (5) years of experience in corporate and/or commercial law. + Minimum ten (10) years of experience as a practicing lawyer. Education + Juris Doctorate (JD) or equivalent (e.g., Legum Baccalaureus [LLBs], Legum Magister [LLMs], and Postgraduate Certificate in Laws [PCLLs]) License, Certification, Registration + State Bar License (from any State where KP does business) Additional Requirements: + N/A Preferred Qualifications: + Five (5) years of experience advising on HIPAA compliance, including negotiating Business Associate Agreements. + Five (5) years of experience in data privacy law, specifically related to health care data. + Two (2) years of experience in health care transaction law. + Eight (8) years of experience in contract law, including inbound vendor contracts and supporting procurement operations. + Eight (8) years of experience in trademark, copyright, and/or patent law, including strategy, applications, agreements, + infringement, and settlements. + Eight (8) years of experience negotiating, drafting and advising on professional, consulting and managed services + agreements. + Eight (8) years of experience negotiating, drafting and advising on significant, complex or enterprise-wide technology deals + and agreements. + Two (2) years of experience overseeing and actively participating in the legal due diligence and/or negotiations of proposed + strategic or corporate transactions. + Two (2) years of experience in health care. + Two (2) years of experience providing legal advice to executive leadership (e.g., Vice President and above). + One (1) year of experience working on highly complex remediation and/or compliance projects. Two (2) years of experience in trademark, copyright, and/or patent law. + Two (2) years of experience in contract law. + Two (2) years of experience negotiating and drafting vendor contracts. + Eight (8) years of experience overseeing and actively participating in the legal due diligence and/or negotiations of + proposed strategic or corporate transactions. + Eight (8) years of experience in health care transaction law (e.g., mergers, acquisitions, joint ventures, affiliations, + investments, etc.). + Two (2) years of experience negotiating and drafting provider and network management agreements. Eight (8) years of experience in commercial real estate transactions including land use, leasing, environmental, + dispositions and acquisitions, construction, or a related field. + Five (5) years of experience advising on open-source law. + Five (5) years of experience negotiating, drafting and advising on reseller and hardware deals and agreements. + Five (5) years of experience negotiating, drafting and advising on strategic collaborations or joint development agreements. + Five (5) years of experience negotiating, drafting and advising on outsourcing or offshoring deals and agreements. + Five (5) years of experience negotiating, drafting and advising on telecom deals and agreements. + Five (5) years of experience advising on AI. + Five (5) years of experience negotiating and drafting agreements with AI vendors. ******This position has a target base salary of $243,000 to $303,750 and is eligible for incentive compensation, comprehensive health, wellness, time off, savings, and retirement benefits, as well as relocation support, as applicable.
