Senior Corporate Counsel – Finance & Governance
Ralliant is seeking a talented and accomplished  **Senior Corporate Counsel** **–** **Finance & Governance**  to join its growing Legal team. Reporting to the Vice President, Assistant General Counsel – Finance & Governance, this role will serve as a strategic partner on public company compliance, corporate governance, M&A, and financing activity. This is a high-impact role designed for an attorney ready to help build and shape the legal infrastructure of a newly public company. The ideal candidate will be a trusted advisor, skilled project manager, and collaborative team member with a strong understanding of securities law and corporate transactions. **Key Responsibilities** **Governance and SEC Compliance** + Draft, review, and advise on SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and earnings materials. + Support preparation and execution of Board of Directors and Board Committee meetings, including materials, minutes, and governance documentation. + Maintain and enhance corporate governance practices, including charters, policies, and insider trading programs. + Ensure compliance with NYSE listing standards, securities regulations, and disclosure controls. + Partner cross-functionally with Investor Relations, Finance, and Treasury on public disclosures and regulatory filings. **Corporate Transactions and Strategic Support** + Advise on mergers, acquisitions, joint ventures, and strategic investments—handling due diligence, contract negotiation, and integration support. + Draft and negotiate confidentiality agreements, NDAs, and corporate transaction documents. + Provide legal support for credit agreements, debt offerings, and other capital markets activities. + Collaborate with corporate development, finance, and tax teams on structuring and executing transactions. **Advisory and Cross-Functional Partnership** + Serve as a thought partner to the Assistant General Counsel and the Chief Legal Officer on governance trends, regulatory developments, and risk management. + Deliver legal guidance to senior leadership and business stakeholders that balance risk with strategic objectives. **Candidate Profile** The ideal candidate is a proactive, practical legal advisor with exceptional judgment and a passion for public company governance. You thrive in fast-paced, collaborative environments and are eager to grow your impact as part of a lean, high-performing legal team. **Required Qualifications** + Juris Doctor (JD) from a top ABA-accredited law school with stellar academic credentials; admitted to practice in at least one U.S. state + Minimum of 5 years of legal experience, preferably with a top-tier law firm, in-house at a public company, or strong government agency (e.g., SEC) experience + Experience advising public companies on SEC regulations, corporate governance, and/or capital markets activity + Exposure to M&A transactions, including deal execution and integration + Strong analytical, communication, and project management skills + High attention to detail and ability to manage multiple complex matters simultaneously + Demonstrated ability to work cross-functionally and build trusted relationships across all levels of an organization \#LI-RG1 \#LI-Hybrid **Ralliant Corporation Overview** Ralliant, originally part of Fortive, now stands as a bold, independent public company driving innovation at the forefront of precision technology.
