Honeywell Building Automation is recruiting for the Senior\nContracts Representative, ASEAN to oversee and support all legal matters of\nHoneywell Building Automation (BA) across ASEAN. This position will be based in Kuala Lumpur, Malaysia, and report directly to the Assistant General\nCounsel, India, ASEAN, and East Asia. 

In this role, you will support BA contracts and other BA legal\nmatters across ASEAN, which may include Projects, Services, Software/SaaS, and\nProducts sales. BA provides products and solutions related to Safety, Security\nand Efficiency of Buildings and Infrastructure assets. We work in multiple\nverticals such as Data Centers, Hospitality, Healthcare, Airports, Metros, Industrials,\nand Commercial Buildings. Our diverse technologies and brands enable us to\ncreate sustainable and holistic software, hardware and service solutions,\nimproving virtually every aspect of a building’s environment and experience.


Description:

The Senior Contracts Representative will serve as the first point of contact for the Sales team to support\n contracts of one or more operating\n units within the Building Automation business in ASEAN Countries. Reviews and negotiates contract documents, request for\n proposals (RFPs), bid documents for a broad range of commercial\n transactions (including constructions/project contracts, FIDIC based\n contracts or comparable standard in ASEAN region, sales & supply\n agreement, distribution agreements, software or SaaS licensing agreements,\n joint development agreements, pricing agreements, consignment agreements,\n non-disclosure agreements, etc.) to reach an acceptable position in every\n agreement and in alignment with relevant global & local business and\n legal stakeholders.Drafts legal & commercial contractual terms,\n supporting documents, amendments, annexures to contract documents as may\n be needed for every individual contract.Understands underlying commercial & legal risks in construction\n contracts, RFPs, tender documents for complex projects and commercial\n transactions. Proactively identifies execution risks and provides\n mitigation advice to avoid revenue exposure or cash collection.  Analyzes and advises on all legal and regulatory issues\n relating to commercial and contract law, intellectual property, licensing,\n trade regulations, labor & employment, product liability, competition\n law, and risk/opportunity analysis of potential transactions.Supports a variety of BA legal matters, including but\n not limited to litigations, disputes (incoming and outgoing claims) in\n ASEAN region and related activity reports. Contributes to local BA matters providing advice and\n identifies risks, external threats, and opportunities to the company,\n proactively and proposes appropriate strategies.Supports standardized processes and templates to efficiently deliver legal services in the ASEAN region and in support of the Honeywell and BA Law Department initiatives.Conducts\n extensive Compliance training on a wide variety of topics, including\n competition law, contracting excellence, protection of intellectual\n property, US Foreign Corrupt Practices Act, and workplace issues and\n policies.  

Qualification:

University Law Degree with certificate in legal practice\n or hold subsequent legal/professional qualifications. Master’s or company\n secretary degree will be an added advantage.At least 5 plus years of relevant experience with major law firm and/or\n corporation as an attorney, in-house counsel or contracts manager. Strong multinational commercial contracting experience in ASEAN countries. Contract negotiation experience in construction/project industry and/or familiarity with product distribution and channel relationships in the region will be an added advantage.Hands-on business partner attitude with a\n solution-oriented mindset, in particular coordinating with\n cross-functional and cross-country teams.Experienced in conflict resolution at the pre- and\n post-litigation stages of dispute resolution.Ability to work independently and aggressively drive key\n initiatives. Interest and ability to teach and to motivate business in\n legal issues affecting business transactions.Demonstrable record of providing clients with advice\n that blends legal experience with an understanding of, and appreciation\n for, a client's business objectives and different cultures and legal\n systems.Self-motivated, dedicated team player who will take a\n proactive approach in managing and seeking to continuously improve\n internal legal function.Demonstrated high personal standards of excellence and\n integrity.Proficiency in Bahasa language is preferred.
