Job Description:

What You Will Be Doing

The Company Secretary will be responsible for managing all aspects of corporate governance of Arrow group of organizations in India including providing guidance to the company directors, ensuring that the regulatory requirements and Board procedures are followed and regularly reviewed, work closely with internal stakeholders from all areas of the organization. This position commands a vital link between the company and its Board of Directors, shareholders, government and regulatory authorities and all other stakeholders.

Primary responsibilities

Corporate governance and company secretarial functions of Arrow group of organizations in India, point of contact with the local company secretaries or local agents for the Arrow group of organization in the Southeast Asia Region.Advising directors and members of the senior leadership team on good governance practices and compliance of corporate governance norms as prescribed under the various regulations and guidelines issued in India.Manages secretarial/compliance audit.Convening and managing of annual general meetings (AGMs) and board meetings, includingdrafting of agendas, annual reports, taking minutes, conveying decisions, handling meeting correspondence and all matters ancillary to such meetings.Preparation and signing off Annual Reports where necessary and responsible for other declarations, attestations and certifications under the India Companies Act and regulations.Acting as a point of contact and facilitating meetings etc with shareholders, directors and officers of the Arrow group of organization in India and the South East Asia Region. Providing support to the board or other committees in India on specific projects and ad-hoc basis.Keeping up to date with any regulatory or statutory changes and policies that might affect the Arrow group of organization in India.Interface with the Law Department, Corporate Audit, Finance and Tax team and other internal stakeholders on corporate governance requirements in India, compliance gaps, etc. of relevance/impact to Arrow group of organization in India.

Other responsibilities

Work closely with the Law Department in preparing and reviewing non-transactional contracts such as Non-Disclosure Agreements, Admin-related engagements, leases etc.Work closed with the Finance and Tax team on setting up of new entities or branch offices and liquidation of entities in India and the Southeast Asia Region.Providing support on ad-hoc projects as and when needed.

What we are looking for

Education, qualification and languages

Graduate degree in Finance, Business or Law.Qualified company secretary and member of The Institute of Company Secretaries of India (ICSI).Fluent English.

Work experience and requirements

A minimum of five years of experience in company secretarial practice areas. Experience working with or in a fast-paced, globally disperse environment. The ability to work independently with minimal supervision. Excellent interpersonal, and oral and written communication skills with the ability to effectively explain regulatory update and requirements to directors and senior leaders. Strong administrative skills.Commercial awareness.Meticulous attention to detail.Excellent organizational skills and time management.The ability to take the initiative.A flexible and practical approach to work.
