About the Role

 

Principal, Subsidiary Management and Governance is a member of the Melbourne based Group Governance team with responsibility for supporting the Group Company Secretary and Head of ESG Governance to oversee the governance of BHP’s Australian subsidiaries and provide legal and governance advice on key transactions, growth projects and other global corporate activities.

 

The role also includes responsibility for monitoring emerging governance trends and assisting the Group Governance team with key governance projects and initiatives.

 

Group Entities 

Assist with corporate regulatory requirements and subsidiary management for the BHP Group. Develop and implement enhanced governance processes and support for BHP Group subsidiaries, including for new country entry and governance of minority investments and non-controlled entities. Draft governance approvals and corporate documents including statutory filings and regulatory notices. Ensure regulatory filings are prepared and lodged on time and that Australian subsidiaries comply with regulatory requirements and maintain good standing. Act as a company secretary and director of BHP subsidiaries as required. Manage subsidiary board processes, including meeting scheduling, agenda preparation and minutes. · Provide governance advice and support to subsidiary directors.

 

Corporate transactions and projects

Provide legal and governance support on corporate transactions, including M&A transactions, investments and major projects. Lead the governance workstreams of corporate transactions and key projects and work closely with internal stakeholders including Group Legal, Investor Relations, Corporate Affairs and Tax. 

 

Governance

Support the Group Governance team on improvement projects and initiatives. Support a knowledge sharing culture within the Group Governance team. Provide analysis and briefing notes on emerging governance related issues, market practice and regulatory requirements and their impact on BHP 

 

About You

 

Degree in Law Prior experience as a Corporate Lawyer with technical knowledge of listed corporates, Corporations Act and Corporate Governance Codes Experience advising on Australian regulatory and governance requirements About Our Process
