A law firm that represents clients in public listings, capital raising, SEC compliance, securities offerings, corporate law, and mergers and acquisitions is seeking a Paralegal to join their team. Firm serves North American, Asian, and international issuers, investors, and broker-dealers, with offices across the U.S. and a regional office in Beijing.
Position Summary
Seeking a highly skilled Paralegal to support attorneys in securities transactions and M&A matters. This role involves assisting with the preparation of SEC-related documents, corporate compliance materials, and due diligence for M&A transactions. The ideal candidate will be detail-oriented, proactive, and experienced in supporting public company and cross-border legal work.
Key Responsibilities
Securities & Corporate Support
Assist in the preparation of SEC-related documents including:
Registration statements
Annual and quarterly reports
Current reports
Proxy and information statements
Insider ownership reports
Support attorneys in drafting and organizing materials for IPOs, PIPEs, ATMs, and other offerings.Maintain and organize client records, transaction documents, and correspondence.
Coordinate with underwriters, issuers, and regulators to support transaction execution.
M&A Support
Assist with due diligence processes, including document collection, review, and organization.Prepare closing checklists, signature pages, and transaction binders.
Support attorneys in drafting and reviewing deal documents.
Track timelines and deliverables for M&A transactions.
Liaise with clients and counterparties to facilitate deal execution.
Compile data and run analytics to support deal structuring and documentation.
Qualifications
Bachelor's degree required; ABA-approved paralegal certificate preferred.
Minimum 7+ years of experience as a paralegal in securities and/or M&A practice.
Strong organizational, multitasking, and attention-to-detail skills.
Excellent research, verbal, and written communication abilities.
Proficiency in Microsoft Office (Word, Excel, Outlook, PowerPoint).
Experience with SEC EDGAR systems and corporate databases is a plus.
Ability to work independently and collaboratively.
Willingness to work overtime and travel as needed.
Basic knowledge of Mandarin Chinese is a plus.
