Managing Director, Mergers and Acquisitions

Position pays a base salary of $200,000 - $225,000 annually + Bonus and Equity

This position is a hybrid, in office 3 days per week, position in our Brentwood, TN location. Candidates should either be located in the Nashville TN area or be willing to relocate within a reasonable period of time.

The Managing Director, Mergers and Acquisitions plays a critical role in shaping the company's strategic growth through origination, evaluation, negotiation, and execution of acquisitions, joint ventures, and other strategic investments that align with the organization's growth objectives.  Utilizes transactional experience, business acumen, relationship-building skills, and the ability to partner cross-functionally to drive transformational deals that enhance shareholder value.

ESSENTIAL FUNCTIONS:

The incumbent should be able to perform all of the following functions at a pace and level of performance consistent with the job performance requirements.

1.      Leads all aspects of transaction execution, including financial modeling, valuation, due diligence, and integration planning.  Partners with senior leadership to refine M&A strategy and identify target markets, sectors, and companies. 

2.      Develops and maintains a robust pipeline of strategic M&A opportunities aligned with corporate priorities.  Provides regular updates to Executive leadership and investor relations on pipeline, deal progress, and strategic fit.

3.      Builds and nurtures relationships with investment banks, advisors, venture funds, and target company executives.

4.      Structures complex transactions, drafts and negotiates term sheets and definitive agreements in partnership with internal and external counsel.  Presents and defends business cases to the Executive Leadership team and the Board of Directors.

5.      Manages internal deal teams and external advisors across the deal lifecycle.  Collaborates with Finance, Legal, Operations, HR, and IT to ensure comprehensive evaluation and seamless execution.

6.      Coordinates with post-deal integration teams to support value realization efforts.

7.      Maintains a disciplined deal review process and ensures alignment with internal risk, compliance, and governance frameworks.   

8.      Stays informed on industry trends, competitor activities, and market conditions to inform M&A strategy and identify emerging opportunities. 

9.      Domestic U.S. travel is required.

QUALIFICATIONS:

·       Graduate from an accredited college or university with a Bachelor's degree in Finance, Business Administration, Economics, or a related field is required.  An MBA, advanced degree, or advanced certifications such as CFA or CPA is preferred. 

·       Eight years of experience in investment banking, private equity, or a related M&A leadership role, with a proven track record of successfully sourcing and closing deals is required.  

·       Demonstrated experience in proactively identifying and sourcing new acquisition opportunities through market analysis, networking, and relationship-building. Deep understanding of financial modeling, valuation techniques, deal structuring, and legal negotiation. 

·       Familiarity with post-acquisition integration processes and synergy. 

·       Exceptional executive presence and communication skills with the ability to influence at the highest levels. 

·       Extensive experience collaborating with internal teams to conduct due diligence and develop detailed acquisition proposals, including strategic rationale. 

·       Demonstrated ability to develop relationships within various industries, including with investment bankers, advisors, and other M&A professionals. 

·       Strategic thinking and problem-solving abilities to navigate complex transactions.

·       Ability to manage multiple projects and prioritize effectively in a fast-paced environment. Proactive and highly organized with a demonstrated track record of achieving results independently and in a team environment. 

·       Strong verbal and written communication skills required. 

·       Proficiency in Microsoft Office applications, including Excel is required.
