DescriptionThe Manager - Legal and Transactions will provide client transaction support, including coordinating board and shareholder/investor meetings, ensuring correctness of the minutes, and statutory registers (e.g., directors, limited partners, shareholders), requiring active participation in client board and investor meetings.
\nAdditionally, the individual will maintain and develop legal templates, such as minutes, resolutions, agendas, intra-group loan agreements, and powers of attorney ensuring compliance with internal processes and checklists related to governance, legal, and corporate secretarial matters
Key ResponsibilitiesOperational Activities \nLead the execution and structuring of complex transactions, including fund formations, acquisitions, disposals, restructurings, and financing arrangements.\nManage and oversee transaction workflows, coordinating with external legal counsels, notaries, banks, tax advisors, and fund administrators.\nEnsure that all transaction documentation (e.g., investment agreements, share purchase agreements, subscription agreements, loan agreements) is reviewed, and properly executed.\nSupervise fund flows, capital contributions, and distributions, ensuring proper documentation and compliance with legal and tax requirements.\nAct as a lead liaison for regulatory authorities and auditors on transaction-related matters.\nOversee the preparation and review of board packs and provide senior-level input on board materials.\n
Client Relationship Management\nServe as the primary senior contact for key clients, ensuring high-quality service and proactive communication.\nDevelop strong working relationships with investors, fund sponsors, investment managers, legal counsel, and financial institutions.\nActively participate in client board meetings and decision-making processes, ensuring compliance and operational efficiency.\nProvide proactive problem-solving and strategic insights based on technical expertise.\n
\nTeam Supervision
\n\nLead and mentor team members, acting as the first point of contact for core deliverables and escalate issues to management as required.\nProvide guidance on high-profile transactions, ensuring team members gain exposure to complex structuring.\nDelegate responsibilities, review team output for accuracy and timeliness.\nSupport recruitment and ongoing professional development efforts to maintain a high-performing, client-focused team.\n\n
Miscellaneous \n\nPerform ad hoc tasks on day-to-day basis.\nAdequately complete and timely submit time sheets.\n
Skills, Knowledge and Expertise\nKey Requirements
Ability to work independently, taking ownership of operational challenges and decision-making with little support from upper management.\nAbility to analyse issues from multiple perspectives and develop creative solutions that balance technical and operational requirements.\nStrong leadership and delegation skills to effectively manage a team and oversee tasks.\nCapability of managing multiple projects simultaneously while meeting deadlines\nExcellent knowledge of Luxembourg corporate law and its application to funds and other structures.\nStrong understanding of fund structures (e.g., SCSps managed by full-scope AIFMs, LPAs).\nIn-depth knowledge of AIFMD regulations and compliance requirements for fund structures.\nStrong knowledge of AML/KYC compliance and regulatory requirements in Luxembourg.\n
Minimum Education, Qualifications and Working Experience
\nMaster’s or Bachelor’s degree in Law, Corporate Law, Business Law, Commercial Law, or a related field is required.\nAt least 5 years of experience in a similar role in Luxembourg.\nAdditional certifications related to AML/KYC compliance, Luxembourg corporate law, or fund administration would be an asset.\nLanguagesFluent in English; proficiency in French or German is a strong asset.
