**POSITION SUMMARY:**
This position will support the Chief Administrative Officer & Corporate Secretary and direct reports of this position by helping to manage corporate governance and entity management, Board support and meeting management, portfolio systems management for the People, Legal, and Philanthropy teams, project management for key strategic initiatives of the People, Legal and Philanthropy teams, performance dashboard support, contract management, and calendar and administrative support. May also provide support to the broader Executive Leadership Team as needed.
**MINIMUM QUALIFICATIONS:**
+ Exemplifies characteristics of The BAYADA Way: compassion, excellence and reliability.
+ Four (4) year college degree.
+ Certificate from an ABA Accredited Paralegal Program a plus.
+ Ten (10) years relevant work experience with five (5) years of experience as an in-house corporate paralegal or
+ similar function in an in-house legal department.
+ Proven project management experience, including with cross-functional initiatives.
+ Demonstrated ability to handle a wide variety of matters and excellent understanding of requirements, processes and procedures related to due diligence, corporate governance, contracts excellence and management of strategic initiatives.
+ Demonstrated record of goal achievement.
+ Strong problem solving, leadership and interpersonal skills.
+ Exceptional communication skills with the ability to present and respond to senior leaders.
+ Excellent organizational skills and ability to meet critical deadlines; flexible and capable of managing multiple priorities.
+ Ability to manage and perform function-specific configuration for key People, Legal, and Philanthropy systems (e.g., contract management system, Workday/ERM systems, etc.).
+ Effective use of Microsoft Word, Excel, PowerPoint, SharePoint; experience with external research sites (e.g., LexisNexis, Bloomberg Law), governance platforms (e.g., OnBoard, Boardvantage, etc.), entity management platforms (e.g. CSC Entity Management) and litigation management platforms (e.g., Legal Suite, CSC Service of Process, etc.).
+ The ability to maintain confidentiality and to operate with the highest ethical standards and professionalism.
+ Ability to read, write and effectively communicate in English.
**PRIMARY RESPONSIBILITIES:**
+ Demonstrate and communicate the core values of BAYADA and The BAYADA Way.
+ Develop working knowledge of BAYADA’s mission, services, people, organization, policies and procedures.
+ Work with General Counsel, other executive management, Board of Directors, Legal and Finance teams to manage corporate governance requirements.
+ Support the preparation of calendars for board and committee meetings and annual and quarterly reports, to ensure timely completion.
+ Support preparation of board and committee meeting agendas, presentations, resolutions, consents, minutes, and other materials, as well as assist with uploading materials to electronic board portal.
+ Prepare, revise and maintain formation documents, resolutions, bylaws and organization charts.
+ Prepare program management timelines, milestones, and Return on Investment (ROI) metrics, and effectively drive and report on progress of strategic initiatives for the Chief Administrative Officer and his or her team.
+ Assist with corporate governance matters for international and domestic subsidiaries and majority-owned joint ventures including development and maintenance of bylaws.
+ Assist with entity formation, mergers, dissolutions, and prepare drafts of corporate organizational documents.
+ Assist with signatures, filings, mailings, as well as maintain and update corporate records relating to signature authority.
+ Manage and maintain key portfolio systems supporting the People, Legal, and Philanthropy teams, including contract management, Human Resources Information System (HRIS), and other key systems.
+ Perform executive assistant duties as needed, including scheduling, calendar management, and management of correspondence for Chief Administrative Officer and executives reporting to this role.
+ Remain current on regulatory requirements, governance best practices and nonprofit corporation law.
+ Develop, maintain and continuously improve template policies, documents, and processes.
+ Support members of the Chief Administrative Officer Leadership Team and, on occasion, the Executive Leadership Team with projects, presentations, meeting logistics, travel arrangements, expense reporting and administrative responsibilities.
+ Assist in preparing, maintaining, and tracking budget.
+ Demonstrate solid performance or exceed performance standards in key job dimensions/attributes as defined on the Performance Appraisal for Office Staff.
+ Perform related duties, or as required or requested by the Chief Administrative Officer and his or her direct reports.
Base Salary: $110,000-$140,000/ year depending on qualifications
Bonus Opportunity: 10%
