JOB PURPOSE

The Legal Specialist will be a valued member of the North American Legal Group and assist the corporate attorneys within the Unilever Legal Team (including the General Counsel) with several areas of focus, including: legal entity management, corporate governance, treasury transactions, tax and finance transactions, contract review and negotiation, and other corporate and commercial transactions.

WHAT WILL YOUR MAIN RESPONSIBILITIES BE

Draft, file and manage various business entity documents for corporations, LLCs and partnerships with state agencies, including drafting and preparing formation documents, board minutes, actions by consent, name changes, etc.Maintain and update Corporate Records and Minute BooksPrepare and execute Statutory Registrations and FilingsFulfill Corporate Secretarial requirementsReview and negotiate form contracts such as non-disclosure agreements, service agreements and statements of workSupport Global Treasury & Tax functions in various financing transactionsCollaborate with cross functional teams on external and internal reporting requirements, routine and operational matters as well as special projectsCommunicate with internal stakeholders regarding risks presented by contract terms and possible strategies to mitigate such risksAct as the primary point of contact between the Legal Department and internal stakeholdersOrganize records and file materials utilizing various electronic document management systemsEffectively and independently solve problems with critical thinking skills, using discretion and good judgement

What You’ll Need To SucceedBachelor’s degree and/or paralegal certificateA minimum of 5 years of corporate paralegal experienceExcellent organization skills, ability to manage multiple priorities, and time management skillsProficiency in Excel, MS Suite programs and related software packagesBe a team player with a strong work ethic

Pay: The pay range for this position is $86,080 to $129,120. Unilever takes into consideration a wide range of factors that are utilized in making compensation decisions including, but not limited to, skill sets, experience and training, licensure and certifications, qualifications and education, and other business and organizational needs.

Bonus: This position is bonus eligible.
