Colombia is one of the fastest growing markets in LAC. This role has primary responsibility for drafting, negotiating, executing and managing/recording all contracts and agreements executed by the Colombian IMC) with suppliers, customers, clients, counterparties and other Diageo entities. **Purpose of the role** The key function of the role in Colombia is proactive legal counseling and legal support to the business by documenting its whole operation through the necessary documents, contracts and agreements in a compliant and regulated environment. The key function of the role in Colombia is proactive legal counseling and legal support to the business by documenting its whole operation through the necessary documents, contracts and agreements in a compliant and regulated environment **Dimensions:** Financials + As with many roles in the Legal Function, value should also be assessed in terms of negative value, i.e. avoiding or mitigating legal risks that might have a financial impact. + Legal Counsel will drive value through strategic initiatives and contribution on projects and agreements. + Legal Counsel will be responsible for supporting the Colombia Head of Legal in monitoring legal spend and managing the legal budget. Market Complexity + Legal input is needed on Colombia’s businesses (from import to sell-out), routes to consumer, brands, strategic relationships, and in connection with legal, corporate relations and compliance challenges. + There are numerous, legal, regulatory, advertising and commercial risks to be managed. + The regulatory environment for antitrust, sales, promotion and advertising of alcohol is complex. + During the past year, the Colombian market has shifted heavily and speedily towards e-commerce platforms. + Constant reinforcement of Diageo’ Code of Business Conduct and policies are required for key stakeholders, which translates into a high necessity of an integral knowledge and reinforcement of these documents, among others. + Legal integration is clue to Diageo’s success. + Complex State judicial and administrative system. + Global Company. + Diageo is a complex, multinational group with listings in the UK and the US. This means that it has numerous disclosures, reporting and compliance obligations. These requirements must be reconciled with local regulatory and legal requirements. Violations of any of these laws can have extra-territorial consequences for the group, with financial liabilities which extend the trading profit of the local IMC. **Leadership responsibilities** + High level of independent work and initiative required for performance of role. + Role model the Diageo leadership capabilities, mentor and motivate the team, build interdependency with the rest of the organization. + Leadership capabilities in specific legal projects; including regulatory issues. + Ensure good corporate governance and compliance matters, including training and coaching. + Full responsibility for trials and assessments judicial management. + Counsels all areas of the business regarding any matter that could impact its reputation. **Top 3-5 Accountabilities:** + Draft Contracts, agreements, processes, collaboration basis, external and internal communication memos for all business areas. + Design judicial strategies, studies and determinations on norms, taxes and administrative processes. + Verification of full legal compliance for every business activity, being an active member of CARM team. Data Privacy and Antitrust. + Identify and implement steps to minimize legal risks for Diageo. + Provide legal opinions regarding business’ legal framework. + Oversee and approve agreements, contracts and all other judicial document where Diageo is involved. **Qualifications and Experience Required:** **Essential** + Bachelors in Law (at least 10 years of experience). + Strong relationship capabilities. + Strong leadership capabilities. + Proficient Commercial, Administrative and Corporate Law knowledge. + Strong analytical skills especially in complex situations where a prompt and efficient solution is needed. + Proficient writing, speaking and listening English skills. **Desirable** + Postgraduate degree in corporate or commercial law. + Strong personality and deep self confidence. + Creativity and out-of-the-box way of thinking. + Willing to respectfully and rationally challenge the status-quo. **Flexible Working Options:** + Role based in Bogota - Colombia. **Flexible Working Statement:** Flexibility is key to our success.
