The Legal Counsel, Americas will serve as a key legal advisor supporting Leica Microsystems’ operations across the United States, Canada, Central and South America, and the Caribbean. This role provides legal guidance on a wide range of commercial, compliance, and regulatory matters, with a particular focus on Latin America. The Legal Counsel will work closely with business leaders and cross-functional teams to support day-to-day operations and strategic initiatives, while ensuring compliance with applicable laws and internal policies. This position reports to the Senior Legal Counsel, Americas, and collaborates with Leica’s Global Legal and Compliance teams.
YOUR RESPONSIBILITIES:
· Draft, review, and negotiate a wide range of commercial agreements, including distribution, sales agent, service, confidentiality (NDAs/CDAs/BAAs), consulting, vendor, supply, licensing, marketing, sponsorship, group purchasing organization (GPO), and healthcare professional (HCP) agreements.
· Provide legal support for Leica’s operations and commercial teams across the U.S., Canada, Latin America, and the Caribbean, helping regional teams navigate local legal and compliance requirements and stay aligned with relevant laws and regulations, including healthcare compliance (e.g., Anti-Kickback Statute), FDA regulations, anti-corruption (e.g., FCPA), data privacy (e.g., HIPAA, GDPR, CCPA), and public procurement.
· Review and advise on marketing, promotional, and educational materials to ensure compliance with applicable laws, industry codes (e.g., AdvaMed), and internal policies—particularly in relation to healthcare advertising, product claims, and interactions with healthcare professionals.
· Partner with internal departments—including Sales, Marketing, Finance, HR, Commercial Operations, and Bids & Contracts—to provide practical legal advice that supports business goals, mitigates risk, and ensures alignment with company policies and international standards.
· Support the Senior Legal Counsel and global compliance team by assisting with internal investigations, contributing to legal and compliance training (e.g., anti-bribery, data privacy, competition law), and participating in global legal projects, including the development of tools such as contract templates, clause libraries, and playbooks.
YOUR PROFILE:
· Juris Doctor (JD) degree and active membership in good standing with a U.S. state bar.
· Minimum of 3 years of legal experience, ideally with a combination of law firm and in-house roles in the medical device, pharmaceutical, or life sciences sector.
· Strong contract drafting and negotiation skills.
· Familiarity with healthcare compliance laws and regulations, including the Anti-Kickback Statute, FCPA, HIPAA, GDPR, and CCPA.
· Excellent communication skills, with the ability to explain complex legal concepts to non-legal audiences and collaborate effectively across all levels of the organization.
· Experience supporting international teams and managing cross-border legal matters, with strong prioritization skills and the ability to manage multiple tasks in a fast-paced, evolving environment.
· A team player with a “can-do” attitude, collaborative mindset, and a desire to learn and grow.
· Understanding of public tender processes and legal frameworks for selling to government or state institutions.
· Spanish or Portuguese language skills are a plus.
· High ethical standards, sound judgment, and a proactive, business-oriented mindset.
SUCCESSFUL CANDIDATE:
· Identifies, assesses, and escalates legal and compliance risks, providing clear, actionable guidance to management and business stakeholders to support informed decision-making.
· Demonstrates strong technical proficiency, with solid command of Microsoft Office tools (Excel, PowerPoint, Word, OneNote, Teams) and experience using Outlook for email and calendar management.
· Communicates and collaborates effectively across all levels of the organization—from junior associates to senior executives—using a service-oriented, business-minded approach to legal practice.
· Embraces a continuous improvement mindset, aligned with the Danaher Business System (DBS), to drive efficiency, innovation, and operational excellence in legal support.
