Lead Paralegal

Clarivate is seeking an energetic and experienced Lead Paralegal to join our global Legal team! Working on a variety of corporate legal matters, you will focus on Board matters, public company reporting, corporate governance and subsidiary management. Reporting to a Senior Director, Associate General Counsel, you will partner closely with our General Counsel, corporate secretarial team and equity compensation team to provide support across the legal team. Members of Clarivate’s Legal team must be resourceful, creative, and eager to take ownership of complex matters.

About You – experience, education, skills, and accomplishments…

Bachelor’s Degree7+ years of legal experience working in-house within a publicly traded corporation AND/OR a mixture of corporate paralegal experience with a large law firm (partnering with public companies)Advanced MS Office Suite: MS Excel, MS Word, MS PowerPoint

Certification from an accredited paralegal programStrong organizational, planning, and project management skills and willingness to take ownership of special projects and drive them to successful completionStrong attention to detail and demonstrated ability to produce reliably error-free work productExcellent interpersonal and communications skills, including ability to be professional, efficient, and thoughtful in both in-person settings and in written materials (emails, chats, written work product)Demonstrated ability to work efficiently while multitasking, and with a high energy level in a fast-paced environmentKnowledge of Workiva, Boardvantage (or other board portal)Notary certification

What will you be doing in this role?...

Assist with preparation of all securities filings with the SEC and the NYSE, including on Form 10-K, 10-Q, 8-K, and proxy statementsPlan annual shareholder meetings, including maintaining the calendar and coordinating stakeholdersAssist in the administration and management of the Board of DirectorsAssist with organization of Board and Committee meetings, preparation and organization of meeting materials and minutesManage and retain all records for Section 16 filings, including preparing, review and filing of Form 3, 4 and 5 filingsAssist with insider trading processes, including maintaining insider group lists and managing 10b5-1 trading plansServe as principal liaison with Transfer Agent, including preparing reports as requiredAssist with tracking and management of related partiesAssist with managing corporate secretarial requirements for US and Canadian entities, including business licenses, registrations and qualifications, annual reports, and corporate documentation

About the Team

In this new role, you will be an integral part of our Legal, Risk & Compliance (LRC) team working on high profile matters with the General Counsel, governance, and corporate secretarial teams and interact frequently with members of the Board, senior management, legal, finance, HR, and executive compensation teams.

Compensation - US Only

The expected base salary for this position is $124,000- $155,000 USD per year.  This role is eligible for (incentive or bonus) earnings.  Individual pay is based upon experience, education, skill and ability, expertise, and relevant factors.

Hours of Work

This is a full-time, hybrid position working within commutable distance to New York or Philadelphia. Ability to be flexible with working hours across regions and time zones worldwide.
