Schedule: Onsite or Hybrid depending on firm policy; full-time with typical AmLaw 20 billable expectations (~2,000+ annually)
Salary: Estimated base range of $245,000 to $365,000 with annual bonuses typically $20,000 to $70,000+, depending on class year, individual performance, and firm financials.

A top-tier AmLaw 20 firm with a market-leading investment funds practice advising sponsors, institutional investors, and fund managers. The Washington, D.C. office plays a critical role in advising on fund formation, regulatory compliance, and cross-border investment strategies.
Description:
You will work with clients across private equity, venture capital, real estate, credit, and hybrid fund strategies. The role covers the full fund lifecycle—structuring and forming funds, preparing offering documentation, negotiating with investors, and advising on securities law, tax, and regulatory compliance matters. You will also liaise with the firm’s tax, regulatory, and corporate teams on complex, multi-jurisdictional issues. This position offers significant client exposure, responsibility for drafting and negotiations, and a clear path toward senior associate and counsel levels.
Qualifications:
JD from an accredited law school; DC Bar admission or eligibility required. Three (3) to ten (10) years total as a licensed attorney with standard big law partner track. Substantial experience in private fund formation, structuring, and compliance. Familiarity with securities law, Investment Advisers Act, and related regulatory frameworks. Strong drafting, negotiation, and client advisory skills. Ability to manage multiple matters in a fast-paced, deadline-driven environment.
