Head of Shareholder Services

Description

Are you passionate about corporate governance, shareholder engagement, and driving excellence? We’re looking for a dynamic and detail-oriented leader to join our team here at Citizens Bank as the Head of Shareholder Services & Corporate Governance. In this high-impact role, you’ll be at the heart of our governance strategy, ensuring transparency, compliance, and strong relationships with our shareholders and board!

What You’ll Do:

Shareholder Services

Lead all aspects of shareholder relations, including managing our transfer agent, stock register, and corporate actions like dividends and repurchases.Oversee Section 16 compliance, beneficial ownership tracking, and insider trading policies.Drive the end-to-end process for our Proxy Statement and Annual Meeting—from drafting to distribution and logistics.Monitor shareholder voting trends and proxy advisor recommendations, and lead our annual shareholder outreach program.

Corporate Governance

Manage board and committee governance, including D&O questionnaires, evaluations, and director onboarding.Maintain and evolve our Corporate Governance Manual, Guidelines, and related policies in line with NYSE and SEC standards.Support ESG governance initiatives and ensure timely updates to public disclosures and regulatory filings.

Nominating & Corporate Governance Committee

Serve as the key liaison to the NCG Committee, coordinating meetings, materials, and strategic updates.Ensure committee operations align with evolving regulatory and business needs, and support cross-functional collaboration across board committees.

What You Bring:

Deep knowledge of public company governance, SEC/NYSE regulations, and shareholder engagement best practices.Strong project management and communication skills, with the ability to lead cross-functional initiatives and interact with senior stakeholders.A proactive, solutions-oriented mindset and a passion for governance excellence.

Qualifications

Juris Doctor (J.D.) (preferred) from an accredited U.S. law school and active bar membership in good standing in at least one U.S. jurisdiction (preference for Connecticut, Massachusetts, or New York).Bachelor's Degree required.Minimum of 5 years of progressive legal and governance experience, including a combination of top-tier law firm practice (AmLaw 100 preferred) and in-house leadership within a publicly traded financial institution or similarly regulated environment.Demonstrated expertise in corporate governance, securities regulation, and shareholder engagement, with a strong understanding of SEC, NYSE, and banking regulatory frameworks.Exceptional written and verbal communication skills, with the ability to deliver clear, concise, and strategic guidance to senior executives and board members.Proven ability to navigate complex, novel, or ambiguous issues with sound judgment and a solution-oriented mindset.Strong leadership and team management capabilities, with a collaborative approach and the ability to influence across functions and levels.Adept at balancing risk management and business enablement, with the confidence to advocate for institutional integrity while remaining flexible and pragmatic.Comfortable operating in a fast-paced, highly regulated environment, with the ability to manage multiple priorities and deliver under tight deadlines.

Hours & Work Schedule
