Director I - Attorney
You Are:
UST business is booming, and we are adding to our Legal team a Director Attorney with Information Technology deep domain expertise, who can draft, review, negotiate, and close client-facing, complex IT contracts. Experience working with internal clients located globally in multiple time zones. Experience working with executive leadership, both internally and externally. Substantial experience negotiating complex contracts with opposing counsel.
The Opportunity:
May also provide direction to outside counsel on routine matters, and supervise paralegals, attorneys, and other legal professionals. Director responsible for leading, managing, reviewing, and negotiating complex customer-facing contracts in support of new and existing business in the United States (and EMEA or APAC, as needed), including vendor agreements pursuant to customer agreements Advanced understanding of business principles and functions in the information technology space. Experience with XaaS, Licensing, BOT, MSAs, etc. A clear understanding of legal principles regarding the protection of intellectual property including service mark protection and software licensing Extensive experience reviewing, drafting, and negotiating commercial agreements subject to US laws for US based companies 10+ years’ experience reviewing, drafting, and negotiating complex, technology agreements on third party paper Experience researching complex research assignments and conducting internal presentations to leadership Ability to independently lead client negotiations with opposing counsel on US contracts Ability to handle significant work volumes and prioritize matters based on business requirements Ability to work within a Contract Legal Management (CLM) system Individual contributor role Pragmatic, can-do / problem solving mindset
What you need:
Required: 15+ years of in-house or law firm experience in managing, supporting, reviewing, drafting, and negotiating complex, technology U.S. agreements for large commercial customers in the United States
Preferred: U.S. law degree, i.e., J.D. or L.L.M., preferably admitted to practice law in any state within the United States OR a Licensed India attorney with over 12 years’ experience managing, supporting commercial technology agreements throughout the entire life cycle in the United StatesWhat we believe:
