Director, Head of Private Equity - Legal
DescriptionThe Director of Private Equity Legal is responsible for driving the strategic legal oversight of
the firm’s private equity business, providing expert leadership to legal and transaction teams,
and ensuring the delivery of high-quality legal, corporate governance, and regulatory services
across client structures and transactions.
Reporting to the Head of Fund Administration, this role oversees procedural and operational
enhancements while promoting a culture of continuous improvement and professional
development. Moreover, the Director manages key client relationships at a senior level,
proactively resolving legal challenges and participating in strategic initiatives, such as new
fund launches, cross-border structuring, and client pitches.
A deep and practical understanding of Luxembourg corporate law, AIFMD, AML/KYC, and the
legal and governance requirements specific to private equity fund structures is crucial to
delivering best-in-class outcomes and supporting the continued growth of Langham Hall.
ResponsibilitiesFulfils an exemplary role in promoting and applying the organisation’s vision and values.\nAct as the primary senior contact for a diverse client portfolio, engaging in strategic discussions and ensuring complex issues are resolved in a manner that upholds Langham Hall’s reputation.\nProvide strategic leadership on complex legal and regulatory challenges, setting a
standard for technical, sound judgment and outstanding stakeholder communication.\nMonitor legal and regulatory shifts affecting the private equity and asset management
sectors, advising executive leadership on risk and opportunity.\nCollaborate with internal stakeholders to embed legal insight into all business decision-making
and operations phases.\nOversee the legal framework supporting fund structures, including drafting and reviewing
constitutional documents, LPAs, intra-group agreements, and resolutions, ensuring full
compliance with applicable Luxembourg and EU regulations.\nLead the end-to-end legal approval process for fund lifecycle events (e.g. structuring,
closings), including coordination of board and investor consents, ensuring timely
execution and filing with the authorities.\nIntegrate broader business objectives, such as client development strategies and service
onboarding into day-to-day operational processes to drive sustainable growth.\nAssess and report on efficiency and financial performance metrics, using insights to
implement continuous improvements in the team’s processes.\nDelegate responsibilities, establish KPIs, and manage resource allocation to optimise
team performance.\nReview and refine deliverables, offering managers and senior staff guidance on complex
transactions and technical matters.\nOperate as the primary escalation point for high-level issues, ensuring swift and effective
resolution.\nMonitor workload distribution, proactively identifying staffing requirements and aligning
resource requests with budget constraints and business priorities.\nCoordinate and perform ad hoc tasks for smooth operations and strategic initiatives.\n

efficiently, and optimizing resource allocation through well-defined KPIs.\nCapacity to align broader business goals (e.g., client development strategies and service
onboarding) with operational processes to drive growth.\nProficiency in analysing efficiency and financial performance metrics, using insights to
refine processes and ensure high-quality outcomes.\nStrong understanding of Luxembourg’s legal and regulatory framework.\nIdeally, possesses a broad network of contacts in the sector.\nMinimum Education, Qualifications and Working Experience\nDegree holder in law, finance, economics or related fields.\nMinimum 10 years of experience in Fund Administration.\nLanguagesFluency in English, with proficiency in French or German, considered a strong asset.
