Eaton’s legal organization is hiring a Counsel, Securities and Governance in Beachwood, Ohio at the US Headquarters.
**What you’ll do:**
The Counsel, Securities and Governance will support the Company’s general corporate law matters primarily focusing on securities and corporate governance. This role involves providing legal support to other attorneys in the Law Department, internal business partners and senior management on matters relating to corporate governance, securities, and corporate transactional matters, and assisting with public company disclosures and compliance with relevant regulations.
**Job Responsibilities:**
• Support the preparation of the Company’s SEC filings, including Forms 8-K, 10-Q, 10-K, Section 16 filings, the proxy statement, and other related filings as well as related disclosure documents.
• Assist in managing compliance with various Company policies and governance processes, including the administration of the Company’s insider trading policy.
• Review external communications such as earnings releases, investor presentations, marketing materials, and the Company’s website.
• Advise on securities law, compliance with SEC and NYSE rules and regulations, and other public company compliance and reporting activities.
• Assist in review and preparation of Board materials, including drafting resolutions and minutes.
• Assist in finance and capital markets transactions, including debt or equity transactions.
• Support ESG-related disclosures.
• Provide guidance on maintenance, organization and governance of the Company’s global subsidiaries.
• Collaborate with and provide guidance to other teams in the Law Department and internal business partners (such as tax, treasury, executive compensation, investor relations, and communications) on matters relating to securities and general corporate governance.
• Monitor and maintain awareness of pending regulations and developments relevant to the Company’s business interests, particularly relating to corporate governance and public company matters.
• Provide legal support on corporate transactions, such as internal restructurings, M&A, joint ventures, and real estate transactions, as assigned.
**Qualifications:**
• Bachelor’s degree from an accredited institution and Juris Doctor (JD) degree from an accredited law school.
• Admitted to practice law and a member of the bar in good standing.
• Minimum of 3 years of relevant experience with securities, corporate governance and corporate finance matters.
• Experience in a publicly-traded company legal department or a top-tier law firm is preferred.
• Excellent attention to detail.
• Excellent analytical and organizational skills.
• Ability to work effectively in a fast-paced and dynamic environment.
• Must be able to travel up to 10%.

The expected annual salary range for this role is $158249.97 - $232099.96 a year.
