This is a unique opportunity to join the engaged, high-performing team in our Office of the Corporate Secretary. You will collaborate with global colleagues and drive our corporate governance compliance efforts. Key Responsibilities: + Leading global corporate subsidiary governance efforts for Johnson & Johnson and its subsidiaries; + Collaborating with attorneys and paralegals to ensure ongoing compliance and maintenance of global subsidiary records; + Drafting and coordinating execution of key corporate governance documents (by-laws, resolutions, annual shareholder consents, proxies, officer certificates); + Coordinating with legal and business colleagues to ensure appropriate individuals are authorized to execute critical business matters; + Partnering with cross-functional teams to support business and tax initiatives involving changes in corporate structure; + Partnering on projects designed to strengthen enterprise record-keeping and drive utilization of legal entity management system; + Developing solutions to sophisticated challenges arising from new and evolving global regulations, including ultimate beneficial owner regulations, anti-corruption laws and privacy laws; + Collaborating with business development legal teams to support acquisitions and divestitures; + Maintaining corporate records for Johnson & Johnson and subsidiaries, including board minutes; and + Supporting litigation discovery for corporate information and corporate governance practices. Qualifications Education + Bachelor’s Degree or Paralegal Certification required. Experience + A minimum of 5 years of relevant experience is required. + Experience working in a fast-paced global environment highly preferred. + Demonstrated ability to interact with leaders across the Company on time sensitive requests. + Preference for previous employment in corporate governance or subsidiary management. + Project management experience is highly desirable. + Must be able to work with autonomy and under minimal supervision to accomplish assigned tasks. + Microsoft Office proficiency is required, and experience with subsidiary management software is preferred. Subject to the terms of their respective plans, employees are eligible to participate in the Company’s consolidated retirement plan (pension) and savings plan (401(k)).
