**Job Summary**
TYLin is seeking a Corporate Governance Counsel to join our fast-growing Legal, Compliance & Risk (LCR) team. In this role, you’ll support the legal and compliance needs of a dynamic global engineering and consulting firm, with a primary focus on legal entity management, corporate governance, equity-related matters, and general corporate support. This position also offers opportunities to contribute to M&A and other strategic legal initiatives.
You’ll work closely with colleagues across Legal, Finance, Tax, HR, and Strategy, helping to ensure our corporate governance practices are effective, efficient, and compliant. You should bring strong attention to detail, organizational discipline, and the ability to manage complex projects across jurisdictions. You enjoy improving processes, finding smarter ways of working, and guiding others through change.

**Responsibilities & Qualifications**
**What You’ll do:**
+ **Governance & Legal Entity Management**
+ Draft and manage board and shareholder resolutions.
+ Oversee legal entity lifecycle events (formations, dissolutions, amendments).
+ Draft governing documents and coordinate jurisdictional filings.
+ Maintain minute books and legal records; manage the entity management platform.
+ Respond to internal and external KYC/UBO and ownership information requests.
+ Support the administration of the company’s equity program.
+ **Collaboration & Compliance**
+ Work closely with attorneys, paralegals, and non-legal professionals across departments to support business objectives.
+ Serve as a key contact for governance best practices, driving consistency and compliance globally.
+ Provide input on strategic governance initiatives and special projects.
+ **Process Improvement & Technology**
+ Help implement new systems and tools that improve the accuracy, efficiency, and accessibility of governance processes and data.
+ Identify and drive process enhancements that streamline corporate operations.
+ Manage relationships with external counsel and governance service providers.
+ **Cross-Functional Support**
+ Support tax, finance, and treasury with required certifications and documentation.
+ Participate in broader department or company-wide initiatives as needed.
**What You’ll Bring:**
+ JD (or equivalent) and a minimum of 2 years of experience in general corporate, regulatory, or transactional law in a law firm or in-house environment.
+ Licensed to practice law in a US state or Canadian province.
+ Strong knowledge of US and/or Canadian legal systems.
+ Excellent organizational, communication, and project management skills.
+ High attention to detail and accountability for quality work.
+ Ability to manage sensitive/confidential information with discretion.
+ Experience with or willingness to learn entity management systems (e.g., Diligent Entities).
+ Comfortable working independently in a fast-paced, cross-functional team setting.
+ Strong judgment, initiative, and a solutions-oriented mindset.
**Preferred Qualifications:**
+ Experience with international governance matters (e.g., Europe, Latin America, Middle East-Africa, Asia Pacific).
+ Additional language skills, especially French, Spanish, or Mandarin.
+ Experience designing or implementing scalable legal processes or governance programs.
