Corporate Governance and Secretariat Advisor

Role Purpose:

This role provides advice, guidance and support on corporate governance, statutory, regulatory, governmental and best practice requirements across board, director and corporate structure activities. Manage the portfolio of HSBC Mexico subsidiaries and enable effective operation of their Boards, and Committees. This role supports the Mexico Company Secretary/HLAH Deputy Company Secretary [Mexico LAM] in delivering the Corporate Governance Secretariat function activities.

Supports the drive to achieve the highest standards of corporate governance to support the delivery of Group strategy and to satisfy the expectations of our stakeholders.

Main Activities:

Contribute to the organisation and management of the Board of Directors and Committee meetingsManage the corporate and business governance arrangements for subsidiary and other entity boardsManage the discharge of regulatory obligations for Mexico and Latin AmericaProvide advice, guidance and support on the execution of corporate transactions for HSBC companies and subsidiariesManage a range of relationships with key internal and external stakeholdersSupport the Company Secretary with governance and appointment of Board Directors for HSBC Mexico and Latin American subsidiariesInterpret and execute legislation and regulations within Mexico and LAM, where applicableUnderstand and execute statutory obligations for HSBC Mexico and LAM, where applicableMaintain corporate records and submit filings for HSBC Mexico and LAM, where applicableContribute to functional projects and tasks

Requirements:

Bachelor’s Degree - Law or similarProficiency EnglishWorking experience in Law firms or Public Notaries desirableStrong knowledge in Corporate Law
