Join us to pursue your passion and unleash your potential. Overview Paychex Advance Corporate Counsel is responsible for providing comprehensive legal support across various corporate functions. Your responsibilities will include assisting, advising, investigating, and resolving various legal matters to ensure the company's operations are compliant and legally sound. Responsibilities + Provide ongoing legal counsel and guidance on all matters affecting Paychex Funding Solutions. Support the Funding Solutions business unit in the management of the company's collateral monitoring, process controls, litigation matters and legal support in respect of company matters, new and existing clients. + Familiarization with Company’s internal processes including exhaustive review of Company’s current Collateral Management inclusive of lien filings, lien searches, IRS interface, corporate good standing searches, Workers Compensation Insurance compliance and searches of owners of Paychex Funding Solutions Clients. + Develop an understanding of Company practices in respect of payroll processing, invoice preparation and/or acquisition, review of all evidential matter supportive of Client payroll. + Develop a review process for gathering relevant information supportive of understanding Collateral quality on an ongoing basis with the goal of creating a Management Level report to be circulated weekly. + Conduct collateral searches using internet tools including Lexis-Nexis, State websites and UCC Direct. + Deep involvement in Risk Management inclusive of working with internal resources on escalated credit issues which may develop into protracted legal matters. + Draft documents including contracts and addenda, plus related security agreements, intercreditor agreements, etc. + Research projects on an ongoing basis focusing on factoring industry and secured transaction related matters affecting Company, clients and risk management. + Research matters related to collateral management, Revised Article 9 of the Uniform Commercial Code, Professional Employer Organizations (PEO’s)/Employee Leasing Companies, IRS matters and other compliance related matters. + Assist in the handling of document preparation and review of all contracts, addenda and related security instruments executed between the Company and its clients. + Work directly with and manage outside counsel handling legal matters (litigation) submitted out inclusive of confirming legal strategies in such matters, expense management and providing appropriate updates internally to Paychex. + Document review and consultation to Company clients. + Assist in ensuring that Paychex Funding Solutions conducts its business in compliance with applicable laws and regulations governing the Company. + Provide collection support including drafting demand letters, and monitoring collection activities. + Thorough understanding of legal practices as evidenced by success of legal strategies. + Identify and inform senior management of legal concerns. + Effective training, leading and evaluation of direct reports. + Timely and accurate completion of tasks in organized, effective, and positive manner. + All duties are implemented in a manner to support company policies and procedures and enhance teamwork. Qualifications + Law Degree (JD) + The successful candidate must be licensed to practice law. + Broad, overview experience in Creditors Rights Law, Secured Transactions, Corporate Law and Employment Law; experience in commercial litigation preferred but not required. Compensation In the spirit of pay transparency, we are excited to share that the starting base pay range for this position is $105,763 - $166,200. Please keep in mind that this range is the base pay only and does not consider other components that make up the total rewards package for the position. If you are hired at Paychex, your overall compensation will be determined based on factors such as geographic location, skills, education, and/or experience which may result in total compensation outside of this range.
