Job Summary:

 

Mercury Systems is seeking an experienced attorney in government contracts and intellectual property matters to join the legal team.  The ideal person will be a roll-up-your-sleeves, innovative and strategic partner to support the needs of the business with a desire to make a significant impact on the Company.

 

This role offers autonomy and an opportunity to improve efficiencies and help implement best-in-class standards.  This role will be a key partner to Mercury’s contracts, supply chain, and business units as the company navigates a pivotal and exciting point in our growth.

 

Responsibilities:

Provide legal support, counselling, and advice to senior business officials, contracts professionals, and supply chain personnel on both the “selling side” and “buying” side of the Company’s business, as well as IP-related issues Advise on legal risks on, and support the resolution of, disputes or litigation related to Company contracts and subcontracts Collaborate with internal stakeholders to develop and implement strategies and policies and support review of contract matters Draft and negotiate critical terms directly with customers and suppliers Maintain and revise, as necessary, the Company’s standard template sales, purchasing, IP and other agreements Help manage protection of the Company’s IP, including the Company’s patent prosecution process and maintenance of Company’s issued patents Provide contract due diligence support for the Company’s M&A activities

Required Qualifications:

JD degree from an accredited law school and be admitted to practice law in at least one State. Ideally 8+ years’ experience as an attorney, including 5+ years’ experience in government contracts Deep understanding and experience with the FAR, DFARS, and other defense-related government contracting laws, regulations, and practices Extensive experience drafting and negotiating defense-related government contract terms, including cost-based, fixed-priced, development, and production contracts, as both a subcontractor to primes and a prime directly to the government Experience in supporting the resolution of contract disputes and related litigation Experience with protecting Company IP, including the Company’s patent prosecution process and maintenance of Company’s issued patents, and negotiation of data rights and IP licensing agreements Excellent analytical and problem-solving skills that extend beyond risk identification Ability to communicate complex legal concepts and risk assessments clearly and concisely Ability to collaborate effectively with cross-functional stakeholders Meticulous attention to detail and strong organizational skills Proven ability to work in a fast-paced environment and manage multiple projects

Preferred Qualifications:

Experience with Defense companies, Technology or other manufacturing heavy companies Experience working at a startup or ability to establish processes and SOPs Experience with contract changes and Requests for Equitable Adjustment (REA’s) Experience providing contract due diligence support for M&A activities Knowledge of patent prosecution process Knowledge of and familiarity with international contracts and/or supporting international operations In-house experience preferred, not required
