Description
We are looking for an experienced Corporate Attorney to join a well-established boutique Orange County law firm. This role offers an opportunity to work closely with clients on a variety of business transactional matters such as mergers and acquisitions, corporate entity formation, maintenance, and dissolution, and employment-related advice and counsel. The firm is known for its collaborative culture, great tenure, strong client relationships, and emphasis on work-life balance (120 billables per month).
Responsibilities:
• Oversee mergers and acquisitions (M& A) transactions, including conducting due diligence, negotiating agreements, and managing closings.
• Provide strategic advice on M& A structuring, regulatory compliance, and risk management.
• Draft, review, and negotiate contracts for business transactions such as asset purchases, joint ventures, and corporate reorganizations.
• Counsel clients on entity formation, securities filings, and employment-related legal matters, including handbooks and workplace policies.
• Conduct legal research and analysis to support transactional and employment matters.
• Build and maintain strong client relationships to understand their business goals and deliver tailored legal solutions.
• Collaborate with internal teams to identify legal risks and implement effective mitigation strategies.
• Meet monthly billable hour requirements of 120 hours while maintaining exceptional client service.
Requirements • Juris Doctor (JD) degree and active license to practice law in California.
• Minimum of 5 years of experience as a corporate attorney, specializing in transactional law and mergers and acquisitions.
• Strong expertise in drafting and negotiating a variety of business contracts and agreements.
• Knowledge of employment law and ability to provide counsel on workplace policies and procedures.
• Proven ability to manage complex transactions and provide strategic legal advice.
• Excellent communication and interpersonal skills to maintain and grow client relationships.
• Detail-oriented with strong analytical and problem-solving capabilities.
• Ability to work onsite or in a hybrid arrangement as preferred by the firm.
