Contract Management Specialist Procurement

Job Summary

The Contract Management Specialist is responsible for drafting and negotiating contracts throughout their lifecycle, from initiation and negotiation to execution and renewal. This role involves drafting, reviewing, and ensuring compliance with legal and organizational standards. The Contract Specialist will collaborate with various departments to support business needs and mitigate risks associated with contractual agreements.

Contract Drafting and Review:

Draft, review, and revise various types of contracts, including vendor agreements, service contracts, partnership agreements, and non-disclosure agreements.Ensure contracts reflect organizational goals, policies, and legal requirements.Coordinate with internal stakeholders to gather necessary information and input for contract preparation.Leverage and foster the use of IFF templates

Contract Negotiation:

Engage in discussions with vendors, clients, and partners to negotiate favorable terms and conditions.Collaborate with internal teams (legal, finance, procurement) to ensure negotiated terms align with organizational policies and objectives.Address and resolve any disputes or issues that arise during the negotiation process.Develop with legal fallback provisions.

Compliance and Risk Management:

Ensure contracts comply with relevant laws, regulations, and corporate policies.Identify potential risks and liabilities associated with contracts and propose mitigating strategies.Assist in developing and implementing risk management policies and procedures.Working with legal regulations: Liability clauses, NDA/CDA, Data Privacy, Information security, etc.

Stakeholder Communication and Support:

Act as a point of contact for internal and external stakeholders regarding contractual matters.Provide guidance and support to project teams, ensuring all parties understand their contractual obligations.Address and resolve any issues or concerns related to contracts in a timely manner.

Contract Renewal and Termination:

Track contract expiration dates and initiate renewal processes in a timely manner.Manage contract termination processes, ensuring compliance with terms and minimizing any negative impact on the organization.

Required Educational Background and Professional Experience

Education: Bachelor’s degree in Business Administration, Law, or a related field.Experience: Minimum of 1-2 years of experience in contract management, legal, or procurement roles.

Preferred skills:

Strong understanding of contract law and legal principles.Excellent drafting, negotiation, and communication skills.Attention to detail with strong organizational and analytical abilities.Proficiency in contract management software and Microsoft Office Suite.Ability to manage multiple priorities and deadlines in a fast-paced environment.Problem-solving mindset with the ability to work independently and as part of a team.
