About the Role

We are looking for a company secretary to join our team of legal professionals and handle a broad range of company secretarial and corporate matters, primarily providing support and advice to senior lawyers within the team (including managing regulatory filings and engaging with various regulators and overseas agents) for various AIA legal entities and providing support to business colleagues.

Roles and Responsibilities:

Company Secretarial and Corporate Services Management

Support the legal function to deliver high quality and efficient company secretarial and corporate services in respect of various AIA legal entities:

Ensure that various AIA companies are organized and run efficiently and optimally from a company secretarial perspective and that all organizational constitutions/policies and filings are properly arranged and managed.Arrange and provide support for convening board meetings, preparing minutes and relevant documentation.Liaise and correspond with Group Office with respect to company secretarial and corporate governance matters.Advise on company secretarial and corporate issues.

Other Responsibilities

Performs other responsibilities and duties as periodically assigned by supervisor.

Minimum Job Requirements:

Preferably chartered secretary with at least 8 years proven experienceExperience negotiating and drafting general company, board and corporate governance documentationExperience in general corporate law, company secretarial and corporate mattersProblem solver and good collaboratorExcellent communication, interpersonal and stakeholder management skillsOperates well in a team environment with the ability to deliver quality work independently and in collaboration with other team membersExcellent judgment and attention to detail, highly organisedOpen to learning new skills and informationFluent written and spoken Cantonese and English, Putonghua a plus.
