Job Summary:
Fujitsu North America, Inc. (FNAI) is seeking a commercially astute and legally proficient Commercial Manager to join our Legal and Commercial Department. The ideal candidate will be responsible for managing commercial contracts, supporting negotiations, advising on legal risk, and ensuring compliance with corporate and regulatory policies. You will act as a bridge between the legal, sales, delivery, procurement, and finance teams to help ensure that business objectives are met with minimal legal and contractual exposure.
 

Key Responsibilities:
•    Provide contracts support for proposals and active contracts with companies predominantly located in North America.
•    Lead the contract review and negotiation process for proposals, contracts, statements of work, and amendments with a focus on risk mitigation and overall value to FNAI, consistent with sound business practices and FNAI policies and procedures.  
•    Identify contractual and/or RFP terms, which may pose risk to the company and provide recommendations, where applicable, on strategies to mitigate.
•    Negotiate terms and conditions, including limitation on liability, intellectual property, warranty, service level credits and indemnification.
•    Draft, review, and negotiate non-disclosure agreements, teaming agreements, data protection agreements and subcontractor agreements.
•    Collaborate with internal teams (sales, delivery, finance, IT, procurement) to ensure commercial terms align with strategic objectives and risk tolerance.
•    Provide guidance and oversight to FNAI’s sales and delivery organization, and work with customer representatives to resolve operational and contractual issues that may arise during the performance of the contract, with a focus on mitigating FNAI’s risk, maintaining and increasing profitability, balanced with customer needs.
•    Proactively assess critical contract obligations and contract provisions to include gaps and risk.  Provide advice on contract revisions to better meet the needs of FNAI and the customer.
•    Review and execute contracts, statements of work and amendments, in compliance with FNAI governance and approval policies.
•    Provide input on the interpretation of contract terms and provide assistance in responding to customer disputes.
•    Create and provide contractually required reporting. 
•    Develop and maintain templates for statements of work, change orders, order forms and other agreements.
•    Assist in contract management activities such as calculating termination charges, calculating COLA factors, documenting contract extensions, contract assignments and assisting in regulatory affairs.
•    Develop effective working relationships with both internal and external customers; participate in customer meetings, as required.
•    Stay up-to-date with FNAI service offerings and changes in IT law, data protection (e.g., GDPR, CCPA), intellectual property, and commercial legislation affecting the technology sector. 
•    Participate in or lead projects, as assigned.
•    Maintain all required contract documentation.  
 

Qualifications:
•    Bachelor’s Degree 
•    7+ years’ experience negotiating terms and managing commercial contracts relating to IT service-related offerings.  
•    World Commerce and Contracting Certification or NCMA Certification preferred, but not required.

•    Ability to manage multiple priorities and work cross-functionally in a fast-paced environment.
•    Risk-aware with strong business acumen.
•    High attention to detail and a proactive, problem-solving mindset.

 

As we are looking for a remote position, the disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled.  Fujitsu aligns salaries to the specific geographic location in which the work is primarily performed. It is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the circumstances of each situation. The pay range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to: specific skills, qualifications, experience, and comparison to other employees already in this role. The pay range for this position is estimated at $93,520 to $134,669 USD. Additionally, this role may be eligible for a short-term incentive based on company results and individual performance.​
