DESCRIPTION:
Duties: Participate in all aspects of structuring and executing a range of complex domestic and cross-border transactions, including acquisitions, divestitures, mergers, spin-offs, split-offs, joint-ventures, special acquisition company mergers, asset swaps, and defenses against unsolicited takeover attempts, focusing on the industrials sector and in the HVAC, Data Center and Industrial Automation markets in particular. Create, maintain, and review complex financial operating models and valuation analyses, including discounted cash flow (DCF), trading comparables, precedent transactions, leveraged buy-out (LBO) analysis, sum-of-the-parts analysis, discounted future share price analysis and transaction impact analysis, in the context of structured public and private technology mergers and acquisitions (M&A) transactions. Assist with deal execution and work with senior deal team members, client management teams, board members, transaction counterparties, and other advisors. Assist clients with due diligence by coordinating information flow, supervising calls and meetings between parties, and reviewing and analyzing company information. Produce deliverables such as memoranda, management presentations, board materials, and other presentation materials for use in M&A transactions and strategic client dialogue. Monitor industry trends and share insights with clients focused on HVAC, data centers and Industrial Automation markets. Develop materials for and participate in meetings with current or prospective strategic clients of the firm. Design and analyze M&A transaction structures. Leverage and coordinate the bank's resources on behalf of clients, including industry expertise from partners in industry coverage groups and product expertise from partners in debt and equity capital markets and corporate finance advisory. Engage in negotiation activities.
QUALIFICATIONS:
Minimum education and experience required: Bachelor's degree in Economics, Finance, Mathematics or a related field of study plus 4 (Four) years of experience in the job offered or as Investment Banking Analyst/Associate, or related occupation.

Job Location: 383 Madison Avenue, New York, NY 10179. This position requires up to 20% of domestic and 5% of international travel to JPMC offices and various client sites.
Full-Time. Salary: $285,000 - $285,000 per year.
