Asst General Counsel - Structured Finance, Asset Management
Description Financial services firm in Atlanta, GA seeking a 10-15+ year attorney to join their inhouse legal team. Role will provide expert legal guidance and manage complex transactions within the structured finance and asset management industry. This position requires a strong background in corporate law, structured finance, and compliance, as well as the ability to oversee diverse legal matters. • Provide legal advice and strategic counsel on structured finance products, including residential mortgage-backed securities and whole loan transactions. • Draft, negotiate, and review contracts related to fund formation, financing acquisitions, and investment structuring. • Manage legal aspects of acquiring, financing, and securitizing real estate assets. • Oversee corporate governance and compliance for domestic and foreign entities. • Handle commercial transactions, mergers, real estate deals, and litigation matters. • Develop and implement policies for human resources and ensure regulatory compliance. • Monitor vendor contracts, ensuring accuracy and alignment with organizational goals. • Advise on financial regulations and oversee compliance with legal standards. • Support investment sourcing and structuring activities to align with company objectives. • Collaborate with cross-functional teams to address legal challenges and drive business outcomes. Requirements • Juris Doctor (JD) degree from an accredited law school. • 10-15 years of experience in corporate law, structured finance, or related fields. • Expertise in residential mortgage-backed securities and structured finance products. • Strong knowledge of corporate governance, fund formation, and compliance. • Proven ability to manage complex transactions, including mergers and real estate acquisitions. • Experience with vendor contract drafting, negotiation, and management. • Familiarity with domestic and foreign entity formation and oversight. • Excellent communication, negotiation, and analytical skills.
