Job Summary: Ecolab is seeking a strategic, experienced, results-oriented attorney to join our Nalco Water legal team as Associate General Counsel, Global High Tech reporting to the Sector General Counsel – Industrial. This seasoned attorney will manage the legal function for a fast-growing business division that is investing in innovative projects, services, and products supporting the global microelectronics industry, global cloud-based computing industry and the construction and operation of global data centers, and related industries.
What You Will Do:
Provide solutions-driven, practical, effective legal advice to Global High Tech leadership on programs and business initiatives.Develop and implement new contract models, templates, training, and process enhancements to drive and scale global contracting supporting commercialization of division programs, products, and services.Review, draft, negotiate, and provide counsel regarding a wide range of commercial agreements, including Engineering, Procurement and Construction agreements, Engineering Services Agreements, Design and Build Agreements, Operations and Maintenance Agreements, Design, Build, Own, Operate and Maintain Agreements, Intellectual Property Licensing Agreements, Equipment Sale Agreements, Equipment Lease Agreements, Land Lease Agreements, Easements, Procurement Contracts, Master Subcontract Agreements, Confidentiality Agreements, Term Sheets and Letters of Intent. Ensure contracts align with Ecolab’s goals, risk tolerance and legal standards.Perform and oversee legal services relating to the design, acquisition, financing, construction and operation of projects including complex water systems and related assets.Identify and mitigate legal risks related to the above program areas. Coordinate across internal legal teams on a variety of matters related to the above program areas.Conduct legal due diligence for transactions including acquisitions and new program/project development.Effectively communicate complex legal issues and recommended solutions for risk mitigation to Executive Management.Working closely with Engineering and Finance Team members and Project Developers and identifying legal issues and recommending solutions throughout the project development process.Minimum Requirements:
Juris Doctor (JD) from an accredited law school; active state bar membership in good standing in any U.S. state.10+ years of legal experience (in-house and/or law firm) focused on commercial contracts, construction law, project development, and similar practice areas in support of the microelectronics industry including reviewing, drafting, negotiating and closing large complex commercial transactions supporting the build, procurement and/or operation of infrastructure/technology related projects.Strong prior experience in the semiconductor or data center infrastructure/technology industry preferred.Strong analytical and problem-solving skills and exceptional judgment combined with the proven ability to manage and prioritize multiple projects in a fast-paced dynamic environment.Experience working with owners, contractors, and financial institutions on large-scale projects preferred.Ability to navigate multi-jurisdictional legal environments and advise on cross-border transactions.Excellent interpersonal skills and a capacity to build strong working relationships across the organization.Experience with M&A diligence and integration.Demonstrated experience understanding financial statements and financial analysis for complex commercial transactions relating to the aforementioned projects.#li-uscf
Annual or Hourly Compensation Range
The base salary range for this position is $194,600.00 - $292,000.00. This position is eligible for annual bonus and long-term incentives based on performance, per plan terms. Many factors are taken into consideration when determining compensation, such as experience, education, training, geography, etc. We comply with all minimum wage and overtime laws.Benefits
