**Purpose of Role**
Provide legal advice and counsel in connection with marketing and brand partnerships carried out by various internal UA teams, including engagements with sports marketing assets, celebrities and influencers; co-branded product and marketing collaborations; and agencies for content production, activations and events. Support on the foregoing will include structuring, drafting, reviewing, analyzing, negotiating and interpreting contracts and related documentation; strategizing and managing inbound and outbound marketing rights; identifying and addressing intellectual property and other legal issues; and supporting on overall strategy and project execution.
**Your Impact**
+ Advance UA’s overall brand strategy by supporting on transactional and intellectual property legal matters at the direction of UA’s Global Sports Marketing, Creative and Product Category business leads, in close collaboration with the Commercial and Intellectual Property teams within UA Legal.
+ Provide advice and counsel on commercial projects, focusing on negotiation and drafting of contracts relating to marketing and brand partnerships domestically and internationally, including athlete endorsement agreements; university/club/team/league sponsorship, outfitter, and licensing agreements; licensing agreements for inbound and outbound marketing rights; collaborations with external brands/influencers; agreements with entertainers, celebrities, and musicians for appearances, performances, social media postings and related services; and agreements with agencies and other external service providers for productions, activations and events.
+ Develop processes and ways of working with UA’s business leads to ensure compliance with applicable contractual commitments, usage of licensed rights and relevant laws and regulations while maximizing business benefits for UA’s partnerships.
+ Support on strategy formulation for, and risk mitigation of, acquisition of marketing rights to global assets for deployment in accordance with UA’s brand strategy and the vision of UA’s business leads, and assist negotiations for the foregoing.
+ Assist with creation and deployment of documentation associated with productions, activations and events, including participant terms and conditions, activity waivers, rights of publicity grants, disclaimers, confidentiality/non-disclosure agreements and indemnity/hold harmless agreements.
+ Collaborate with business teammates from all areas of the company and all regions with a range of seniority, subject matter experts, risk associates, leadership, and outside counsel, as necessary, including Strategic Procurement, Tax, Risk and Accounting/Finance.
+ Understand and ensure adherence to internal policies and procedures, and client contractual commitments, to continuously ensure that contract structure, drafting, negotiation, and execution comply with such policies and commitments. Identify and escalate issues and provide risk-based recommendations and advice within strategic business conversations.
+ Provide legal advice and counsel on issues arising from existing contracts, including contract interpretation, compliance with contract terms, termination or renewal. Draft resulting notice letters, amendments and termination letters. Advise and assist with negotiations to resolve contract disputes with third parties.
+ Support and educate business teammates on issues associated with partnerships, activations, events and productions, including compliance with restrictions of licensed content rights; NCAA, high school, and NIL eligibility rules; and SAG and other union requirements.
+ Develop and maintain contract templates to ensure workload efficiency, support in development of business and legal processes and implement internal policies to help scale the business and ensure alignment to current business needs, policy demands and legal trends.
+ Manage outside counsels engaged to assist with discrete legal matters.
**Qualifications**
+ Candidate must have 5+ years of firm and/or in-house experience.
+ Prior experience providing support on marketing/brand partnerships, advertising/marketing transactions and trademark/copyright transactions required, preferably for a multinational retail brand.
+ Law degree from a reputable, accredited university required. Candidate must be admitted to practice law and in good standing in a jurisdiction within the U.S.
**Critical Skills:**
+ Strong experience in negotiating and interpreting complex contracts and advising on issues relating to marketing and brand partnerships.
+ Advanced knowledge of trademark and copyright issues associated with licensed rights, including music licenses.
+ Superior analytic, writing, editing and oral/written communication skills.
+ Ability to prioritize, organize and work efficiently in a high-volume, results-oriented environment.
+ Highly organized with strong problem solving skills and a drive for efficiency.
+ Ability to work independently, prioritize and manage expectations.

**Workplace Location**
+ **Location:** This individual must reside within commuting distance from our **Baltimore, MD** office.
+ **Work Schedule:** This role follows a hybrid work schedule, requiring **3** **days in-office per week** through September 5, 2025. Beginning September 8, 2025, the in-office requirement will increase to 4 days per week.

**Base Compensation**
**$169,938.20 - $233,665.03** **USD**
Most new hires fall within this range and have the opportunity to earn more over time. Initial placement within the salary range, however, is based on an individual's relevant knowledge, skills and experience for the position.
