Assistant Legal Counsel, Commercial Transactions

Job Description 

A&F Co. is seeking an Assistant Legal Counsel to provide commercial contract and transactional counsel to the company as necessary to support our dynamic marketing team. This role will focus on providing legal guidance on brand partnerships, influencer collaborations, agency agreements, sponsorships, and experiential marketing initiatives.  You’ll work closely with cross-functional teams to ensure compliance and mitigate risk in high-visibility campaigns and activations.  This position reports directly to Senior Legal Counsel of the Contracts and Commercial Transactions group and will work closely with A&F’s global Legal and Compliance teams, as well as the Procurement; Marketing; Information Technology; and Finance. 

This job is located at our Global Home Office in Columbus, Ohio.  

What Will You Be Doing? 

Draft, review, and negotiate a wide range of marketing-related agreements, including: marketing and promotional agreements, creative and media agency contracts, sponsorship and event production agreements, brand collaborations and co-marketing deals, licensing and promotional agreementsAssist the Legal team with the implementation of new contracting processes, policies and procedures, including building, training and monitoring componentsSupport the development and rollout of marketing contract templates, playbooks, and trainingCollaborate with internal stakeholders and external partners to ensure alignment on legal and business objectivesAssist with commercial disputes and litigation as necessary

What Do You Need To Bring?  

Strong Academic Background including a JD from an accredited law schoolActive member of the Ohio Bar with 2+ years working experience as a lawyer handling complex commercial transactions - transactional experience for either an international law firm or multi-national corporation is highly desiredExperience acting as lead on the negotiation of marketing agreements, IT/technology agreements, and general services agreements is a plusAbility to work in a highly collaborative, fast-paced environmentAbility to manage a high volume of demands with shifting priorities, and an eagerness to take on new challenges as a self-starterStrong organizational skillsAbility to succeed with minimal oversight or managementAbility to work independently as well as with others while balancing multiple tasksOpen for challenges and willing to work outside of defined scopeExcellent oral and written communications skillsDemonstrated ability to collaborate with cross-functional business teams outside of Legal
