Job Description:At Regions, the Assistant General Counsel provides legal advice and guidance to clients and colleagues on a wide variety of legal issues. Primary Responsibilities
Partners with business units and executive leadership to provide practical legal advice on issues related to complex business and banking mattersProvides strategic, pragmatic, and expert legal advice to business unitsAdvises senior management as to the interpretation of laws and regulations and on new and recent changes in laws and regulations that affect the BankMonitors and remains up to date on emerging legislative developments that may affect the BankParticipates in line of business-initiated projects such as drafting policies and procedures on new regulations and amendments or new interpretations of existing regulationsProvides expert assessment of legal risk when business decisions are made, demonstrating particular consideration for the Bank’s reputation as well as our clients and assetsWorks with and manages outside counsel on legal issues impacting the Bank and related matter budgetsMay lead and manage other Assistant General Counsel, specialists or paralegal staffProvides assistance with training bankers, associates, operational staff and customer support staff on legal issuesProvides expert legal counsel on a wide range of legal issues and works on complex issues where analysis of situations or data requires an in-depth evaluation of variable factors.Proactively and consistently develops relationships based on trust across the organization; grows internal and external networksAbility to work in a collaborative environment with multiple stakeholders to include senior and executive managementHas distinct, independent ownership of a legal function or specializationProvides mentoring opportunities for legal staff and serves as a resource for legal staffThis position is exempt from timekeeping requirements under the Fair Labor Standards Act and is not eligible for overtime pay.

Requirements
Law DegreeLicensed in good standing to practice law in at least one jurisdictionTen (10) years of legal experience at a regulatory agency, in the financial services industry, or at a law firm with strong knowledge of bank regulations or other relevant practical legal experienceSkills and Competencies

At Regions, the Assistant General Counsel, Intellectual Property provides legal advice and guidance to clients and colleagues in the area of Intellectual Property. In this role, you will build out a program to protect inventive concepts in the fields of artificial intelligence, data science, cryptocurrency, cybersecurity, digital banking, and others. In addition to patents, you will help drive Regions toward a successful, technological future with thoughtful protection of all forms of intellectual property.
Additional Responsibilities
· Develop the strategic framework, processes, and program to identify strategic ways to identify and protect new inventions
· Execute patent harvesting and invention sessions with inventors with eye toward the strategic value of our patent portfolio
· Assist with patent prosecution, including processing invention disclosures, determining an appropriate IP protection strategy, working with outside counsel to draft and prosecute patent applications that accurately protect inventions
· Strategically manage existing patent portfolio to maximize value and minimize costs
· Partner with the business and other legal experts to structure and negotiate IP terms with vendors, partners, and other third parties
· Conduct due diligence reviews of all IP-related documents in acquisition and investment transactions in coordination with outside counsel to identify and understand IP risks in proposed transactions
· Assist with IP litigation and copyright issues
· Partners with business units, functions, and executive leadership to provide practical legal advice on issues related to intellectual property
· Provides strategic, pragmatic, and expert legal advice to business units and functions
· Participates in line of business-initiated projects to identify and understand IP risks Works with and manages outside counsel on intellectual property issues
· Provides assistance with training bankers, associates, operational staff and customer support staff on intellectual property issues
Additional Preferences
· Ten (10) years of relevant intellectual property experience in a law firm or corporate law department
· A USTPO registration number preferred
· In-house experience in the financial services industry or technology industry
Additional Skills and Competencies
· Experience handling patent prosecution and managing a patent portfolio
· Experience in drafting and negotiating IP provisions in various technology agreements, including IP licenses, software licenses, SaaS agreements, technology transfer agreements, consulting, professional, and other complex technology agreements
· Experience in handling IP-related due diligence and negotiating IP provisions in M&A/Strategic Investment transaction documents

Pay ranges are job specific and are provided as a point-of-market reference for compensation decisions. Other factors which directly impact pay for individual associates include: experience, skills, knowledge, contribution, job location and, most importantly, performance in the job role.
