Assistant General Counsel

We have an exciting opportunity for an **Assistant General Counsel (AGC)** to join our Corporate Legal team. Reporting to the EVP, General Counsel & Secretary, the Assistant General Counsel (AGC) is responsible for a broad range of legal services to the company, both directly and in conjunction with outside counsel. There is a significant focus on SEC reporting requirements and public company regulatory compliance, including drafting the annual proxy statement, M&A, and general commercial counseling. Given this role serves as a business partner to Corporate and business units alike, it requires a highly effective collaborator.
This is an onsite position, based in our Stamford, CT headquarters office, just off of the highway and easily accessible via public transportation (train, etc.)
**Responsibilities and Duties:**
+ Work with senior management, HR, compensation consultants, proxy advisors and others in organizing and drafting the proxy statement; assist in conducting the annual stockholders meeting.
+ Support the D&O questionnaire process, and the Executive Officer and Director stock transaction approval process.
+ Work with senior management and the finance department in drafting and reviewing Forms 10-K and 10-Q.
+ Review press releases and drafting Forms 8-K; supervising preparation and filing of Forms 3, 4 and 5.
+ Drafting, reviewing, and negotiating various agreements, including commercial sales contracts, confidentiality agreements, commercial real estate agreements, license agreements and employment related agreements.
+ Provide corporate governance advice to the organization, including preparation of resolutions, policies, and procedures
+ Assist in the Company’s M&A activity, including active involvement in due diligence review and drafting and negotiating transaction documents. This is a meaningful part of the role, given the Company’s current growth mode and ongoing pursuit of inorganic, profitable growth opportunities.
+ Develop practical solutions and communicate same to the business clients, including senior management.
+ Enhance the effectiveness of the Law Department through participation in staff meetings, training, and positive interaction with Corporate and business clients.Develop a keen understanding of the Company’s business strategy and its business system.
**Qualifications and Competencies:**
+ JD from an accredited law school and licensed to practice in Connecticut (or willing to obtain an in-house limited license).
+ Minimum 5-7 years of experience as an attorney with a mix of top law firm experience and working in-house in a publicly traded corporation preferred .
+ Proven knowledge and understanding of securities laws and regulations.
+ Demonstrated ability to be a proactive team player and partner effectively with our internal clients in a collaborative environment to achieve stated business objectives while minimizing risks.
+ Self-starter with a sense of urgency, ability to prioritize, handles unanticipated situations effectively and works well under pressure in a demanding multi-client environment.
+ Excellent written and oral communication skills, including the ability to convert complex legal concepts into useful business guidance and the ability to engage personnel across all levels of the Company.
+ Commitment to the highest standards of ethical conduct.
+ Highly motivated and positive attitude.
+ Ability to handle confidential and sensitive legal matters.
+ Ability to analyze a situation, identify issues and propose practical solutions.
+ Occasional domestic and international travel is required.
