**Location Overview:**
Based in the 8th arrondissement and within the Parisian Golden Triangle, our beautiful Art-Deco era office benefits from luxury modern workspaces, an abundance of natural light and is easily accessible by public transport.
**The Team:**
There is currently a team of 2 corporate secretaries based in Paris who are dedicated to the French entity and they are part of the broader team based in London and Ireland supporting all entities in EMEA.
**Responsibilities:**
Our Paris office currently has an opening for a dedicated Assistant Company Secretary to join our growing Legal team at Assistant Vice President level (or more senior for the right candidate). The role involves providing assistance to the corporate governance and company secretarial team of a regulated investment firm based in Paris (with some support for other legal entities in Europe).
Our Legal department provides professional legal services to the company and its subsidiaries by addressing legal risks, providing creative solutions and identifying opportunities for our business partners. As a key control partner, we understand the businesses we support and their ultimate client, shareholder and employee goals.
**What will your key responsibilities involve?**
+ Assist the corporate secretary team for a regulated French investment firm/credit institution (and a number of other regulated and unregulated European legal entities)
+ Assist in the preparation, organization, and follow-up of board of directors’ and committee meetings
+ Attend Board & Committee meetings and draft meeting minutes or specific sections
+ Draft documents including agendas, resolutions, materials, minutes, attendance registers,
+ Organize and Maintain legal documentation databases in paper and electronic filing system, maintain corporate governance information up to date, and contribute to improving internal processes
+ Oversee the following in liaison with the local Corporate Secretary team:
+ Maintenance of the statutory registers and internal record keeping system
+ Local and overseas filings
+ Operation of signing authorities and delegated authorities
+ Execution of legal documents including POA’s, Certificates of Incumbency, Deeds etc. including notarisation / apostille / legalisation
+ External company secretarial provider companies
**Experience and Skills:**
+ Degree or equivalent experience
+ Fluent and Bilingual French/English
+ Experience with corporate governance in France for regulated financial services firms and société anonyme
+ Solid written and spoken English and French capabilities
+ Excellent written, presentation and communication skills; good attention to detail and accuracy
+ Excellent organisational skills and attention to detail with dedication to extraordinary service
+ Highly motivated self-starter with ability to multi-task and complete assignments within time constraints and deadlines
+ Ability to make connections across the organisation to achieve outcomes and results together
+ Professionalism, dependability, integrity and trustworthiness combined with a cooperative attitude. Able to thrive in a dynamic team environment
